Governance Explanations

Form 990, Part VI, Section B, Line 11B

The irs form 990 is presented to, reviewed, and approved by the board of directors at a regularly scheduled meeting prior to filing.

Form 990, Part VI, Section B, Line 12C

1) the conflict of interest policy is distributed and reviewed upon entry into the organization and annually thereafter by top management and the board. The policy is embedded within both the by-laws, as well as the code of ethics. All employees and volunteers (including board members) are subject to the conditions of the conflict of interest policy. 2) real and/or potential conflicts of interest are reported to human resources director (hrd). The hrd, who also acts as a co-corporate compliance officer along with the ceo, typically reviews & responds to reports of conflicts of interest. These determinations are generally in consultation with the ceo (the other co-corporate compliance officer), and the chief operating officer. 3) actual conflicts of interest are reviewed internally by the hrd, coo and ceo. For board members, real or potential conflicts are reviewed at the time one arises, as well as annually when the board reviews the conflict of interest policy, by-laws, etc. 4) restrictions are imposed specific to the particular conflict that exists, but always with the idea of structurally and/or operationally eliminating the potential of the conflict of interest in unduly influencing the integrity of any & all organizational (including employees, volunteers, board, contractors, etc.) decisions, actions & behaviors. For example, if a volunteer applicant is an immediate family member of a manager who would normally become their supervisor, the organization changes the line of direct & indirect supervision to exclude that person, in addition to excluding them from any decision-making around schedules, benefits, promotions, reviews, etc. Board members and all employees are required to disclose any real or perceived conflicts of interest. These are reviewed for action by the organization's designated corporate compliance officers, or the board of directors (if it is a board member disclosing a conflict of interest). The organization mitigates reported conflicts of interest by removing from the individual decision making authority or influence in the associated transaction.

The board of directors follows policy when setting executive compensation that includes several factors such as referring to comparable organizations, performance of duties, scope of duties, program/financial health of the organization, and other factors as determined by the board.

EMPLOYMENT AND DAY SERVICES FOCUS ON COMMUNITY-INTEGRATED SUPPORTS, COMMUNITY LIFE ENGAGEMENT (CLE), EMPLOYMENT SKILL DEVELOPMENT AND EMPLOYMENT PLACEMENT TO ASSIST PARTICIPANTS IN DISCOVERING & ACHIEVING THEIR OPTIMUM POTENTIAL AND GROWTH. INDIVIDUAL PROGRAMS ARE PERSON-CENTERED AND DESIGNED TO FIT EACH PERSON'S UNIQUE NEEDS, INTERESTS AND GOALS. ASSISTING PARTICIPANTS IN FINDING AND RETAINING EMPLOYMENT IN THE COMMUNITY IS ONE OF THE MAJOR GOALS IN THIS PROGRAM. PHASE ALSO OPERATES SEVERAL MICRO-INDUSTRIES, SUCH AS RETAIL OUTLETS (HERITAGE BARNWOOD, HERITAGE THRIFT STORE, HERITAGE HOME CREATIONS). INSTEAD OF THESE MICRO-INDUSTRIES SERVING AS A LONG-TERM EMPLOYMENT OPTION FOR INDIVIDUALS SERVED, THEY CONTINUE TO BE TRANSFORMED TO PROVIDE EMPLOYMENT TRAINING, EXPERIENCE, AND MARKET-READINESS IN PURSUIT OF COMPETITIVE EMPLOYMENT FOR PROGRAM PARTICIPANTS. ACROSS THE CALENDAR YEAR, PHASE SERVED OVER 450 INDIVIDUALS IN MA WAIVER & VOCATIONAL REHABILITATION SERVICE PROGRAMS, AND HELPED 139 INDIVIDUALS NEWLY ACCESS SERVICES. THIS INCLUDED INDIVIDUALS SERVED THROUGH ADVANCE OPPORTUNITIES, A SIMILAR PROVIDER ORGANIZATION THAT MERGED INTO PHASE IN APRIL 2024. A MAJOR GOAL IN THAT MERGER WAS TO INCREASE ACCESS TO SERVICES FOR INDIVIDUALS ON A "WAIT LIST." PHASE WAS ABLE TO REDUCE THE WAITLIST BY 39% BETWEEN 4/1/24 AND 12/31/24, MARKING A SIGNIFICANT IMPROVEMENT IN SERVICE ACCESS COMPARED TO EARLIER YEARS. FURTHER, APPROXIMATELY NINE OUT OF TEN INDIVIDUALS SERVED IN MA WAIVER PROGRAMS MET OR MADE PROGRESS TOWARD OR FULLY MET THEIR INDIVIDUALIZED OUTCOMES & GOALS, AND COMPETITIVE EMPLOYMENT PLACEMENTS SAW A YEAR-OVER-YEAR INCREASE.ACROSS ALL PROGRAMS, 2024 MARKED A SUCCESSFUL FIRST FULL YEAR OF SUPPORTS SINCE PHASE RELINQUISHED ITS COMMENSURATE WAGE CERTIFICATE IN MID-2023, SUPPORTING FULL COMMUNITY AND EMPLOYMENT INCLUSION FOR OVER 150 INDIVIDUALS WHO HAD PREVIOUSLY BEEN PAID UNDER THE COMMENSURATE WAGE CERTIFICATE.
