The form 990 is prepared by an independent accounting firm (cla). The form 990 is distributed first to the administrative committee with the audit report. After approval by the administrative committee, the form 990 is distributed to the board of directors and presented by the committee for approval by the full board of directors.

Form 990, Part VI, Section B, Line 12C

All board members and top management staff sign a conflict of interest policy annually. The conflict of interest policy for other management and staff is included in the employee handbook. Before board or committee action on a contract or transaction involving a conflict of interest, a director or committee member having a conflict of interest and who is in attendance at the meeting shall disclose all facts material to the conflict of interest. Determinations shall be made by the board or committee members that do not have a conflict of interest with respect to the transaction. Such disclosure shall be reflected in the minutes of the meeting. A person who has a conflict of interest shall not participate in or be permitted to hear the board's or committee's discussion of the matter except to disclose material facts and to respond to questions. Such person shall not attempt to exert his or her personal influence with respect to the matter, either at or outside the meeting. A person who has a conflict of interest with respect to a contract or transaction that will be voted on at a meeting shall not be counted in determining the presence of a quorum for purposes of the vote. The person having a conflict of interest may not vote on the contract or transaction and shall not be present in the meeting room when the vote is taken, unless the vote is by secret ballot. Such person's ineligibility to vote shall be reflected in the minutes of the meeting. Responsible persons who are not members of the board of directors of people incorporated, or who have a conflict of interest with respect to a contract or transaction that is not the subject of board or committee action, shall disclose to the chair or the chair's designee any conflict of interest that such responsible person has with respect to a contract or transaction. Such disclosure shall be made as soon as the conflict of interest is known to the responsible person. The responsible person shall refrain from any action that may affect the organization's participation in such contract or transaction. In the event it is not entirely clear that a conflict of interest exists, the individual with the potential conflict shall disclose the circumstances to the chair or the chair's designee, who shall determine whether there exists a conflict of interest that is subject to the organization's policy.

Form 990, Part VI, Section B, Line 15

The ceo's compensation is established by the board of directors upon completion of an external market study, and then reviewed annually as part of the performance evaluation. Ceo compensation is evaluated every year and is taken externally for market evaluation by an outside consultant every two years. This outside evaluation happened most recently in 2023. Other executive and top management compensation is reviewed and determined by the ceo and in consultation with finance and human resources. Data used to determine compensation involves the uses of multiple salary surveys comparing industry, size of organization, operating revenue, general education, and years of experience to determine what the 'market' rate for these positions is. Internal equity analysis occurs with recommendations made by human resources and forwarded to the ceo for final approval. Salary rationales are noted internally indicating the rationale for the salary increase and will include references to education, years of overall experience, licenses/certifications, competencies, and other aptitudes or accomplishments. This is done on an annual basis to support our retention efforts. This process also includes the cfo, coo, cao/general counsel, chro, and vp of community engagement. All executive compensation was reviewed in 2023 utilizing an external vendor. The process described here was last completed in 2023.

OUR RESIDENTIAL CRISIS STABILIZATION (RCS) HYBRID SERVICES HELP INDIVIDUALS WHO ARE EXPERIENCING A MENTAL HEALTH CRISIS OR EMERGENCY. WHEN APPROPRIATE, THE INDIVIDUAL CAN MOVE DIRECTLY INTO AN IRTS, REMOVING THE BARRIERS AND WAITING FOR THE NEXT STEPS TOWARD RECOVERY. OUR IRTS PROGRAMS ARE A STEP BELOW HOSPITALIZATION IN OUR COMMUNITY-BASED SYSTEM OF CARE, HELPING ADULTS WHO NEED A HIGH LEVEL OF TREATMENT AND ASSISTANCE IN A STRUCTURED ENVIRONMENT.
