Governance Explanations

Form 990, Part VI, Section B, Line 11B

Pica's form 990 and its requirements are reviewed with the executive committee of the board and signed by the chairperson and the treasurer prior to submission of the form 990. The 990 is also made available to the entire board of directors prior to filing.

Form 990, Part VI, Section B, Line 12C

The agency has an official conflict of interest policy, delineated in pica's financial policies and procedures manual, and summarized below: "no employee, officer, or agent of pica, any member of his or her immediate family, his or her partner, or any organization which employs or is about to employ any of the parties indicated herein, will have a financial or other interest in the firm selected for any contract award. For purposes of procurement, "immediate family" is defined as spouses or domestic partners, parents or in-laws, siblings, and children." potential and existing conflicts of interest are reviewed at the executive direcor and/or board level, depending upon where the potential conflict exists. If it is determined that a conflict of interest exists, the identified individual will be prohibited from participating in any decisions related to the area of conflict; if the identified individual has a financial or other interest in a potential contractor or vendor, the contract or transaction will be awarded to an alternate source.

Form 990, Part VI, Section B, Line 15A

The process for determining the compensation for pica's executive director involves 1) examining wage comparability data on an annual basis for positions of similar responsibility in the local community; and 2) taking into account the results of the comprehensive annual review of the executive director's performance, conducted and documented by pica's board of directors. The board sets the executive director's compensation level based on an evaluative analysis of the executive director's performance in the areas of agency management and oversight, development, and overall agency performance, within a salary range commensurate with local wage comparability data. This process was last completed in july 9, 2024.

Pica's agency articles of incorporation, bylaws, conflict of interest policy, and financial information-including the agency's form 990 and audited financial statements-are made available, upon request, to any interested party. Certain actions by the board are subject to the approval by the policy council as per the federal head start act, public law 110-134 42 usc 9801 et-seq.
