At this time, cadt does not have any committees that can act on behalf of the governing body. If there was such a committee, cadt's executive assistant takes meeting notes at any applicable committee meetings, types them up, and then posted to the executive folder for housing. We do have one committee that meets, but had no action authority. All items are brought to the board as a whole for discussion/decision.

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by and independent firm and reviewed by finance management. The director of finance/chief financial officer then provides a copy to the board of directors for their review and acceptance prior to filing form 990.

Form 990, Part VI, Section B, Line 12C

It is our practice that all contracts for goods and services, employee hires, payments and written agreements are reviewed by the chief executive officer (ceo) and chief operating officer (coo) for potential conflicts of interest. In any case where the ceo has a conflict, the issue is referred to and reviewed independently by the board of directors.

Form 990, Part VI, Section B, Line 15

The chief executive officer (ceo) compensation was initially reviewed, established and approved by the entire board of directors based on the collection and analysis of comparability data from the minnesota council of nonprofits salary survey, a specific review of similarly qualified individuals in comparable organizations in minnesota and national nonprofit compensation information. There was no involvement by individuals with a conflict of interest. Currently, there is a contract in place that establishes board approved pay increases for the ceo each year. There was a salary increase for the ceo in 2024. The ceo bases compensation for the coo and the director of finance/cfo on the collection and analysis of comparability data from similarly qualified individuals in comparable organizations in minnesota. Hr and the ceo do a comparison and analysis for officers and/or leadership positions annually. There was no salary change for the director of finance/cfo or coo in 2024.

Medical support: in july of 2024 the center began the medical support program. The center offers a medication support team which includes pharmacist and medication/care navigator supportive services. These services consist of 1:1 meetings with the pharmacist for comprehensive medication management (cmm), group education of clients, and medication use systems support and navigation for clients and staff. These services enhance but do not supplant the obot and residential programs creating greater support for patients.

The center ceased two of the contract service programs with the duluth police department (dpd). In september 2024, the contract service program dpd crisis ceased and in july 2024, the contract service program dpd cossap ceased.
