Crest view senior communities, founded as a charitable christian organization, in cooperation with the community and member churches, exists to serve people by offering a continuum of quality care and services and by providing for their spiritual, emotional and physical needs.

To provide care and services to the elderly in the columbia heights community.

Governance Explanations

Form 990, Part VI, Section A, Line 1

The executive committee is composed of the chair, vice-chair, treasurer, and secretary of the board. The executive committee may act during intervals between meetings of the board of directors, and on matters that need action prior to the regular board meeting when a special meeting of the board cannot be timely convened for action, and on matters for which full board deliberation and action is deemed not essential. The executive committee may provide direction and consultation to the chief executive officer regarding board policies and corporate action. During such intervals and subject to such control and direction, the executive committee shall have and may exercise all of the authority and powers of the board of directors regarding the business and affairs of the corporation, subject to such limitations as the board of directors may impose from time to time.

The corporation shall have one class of members: christian congregations.

Form 990, Part VI, Section A, Line 7A

The board of directors shall be elected by the members. At least 51% of the board members shall be members of a lutheran church congregation and at least 30% of the board members shall be members of a lutheran church - missouri synod congregation.

The power to adopt, amend, or repeal bylaws is vested in the board of directors. The power to override any action of the board of directors as to the adoption, amendment, or repeal of the bylaws or a bylaw is reserved to the members. Similarly, the voluntary dissolution of the corporation shall be undertaken only when the plan of dissolution has been approved by the affirmative vote of a two-thirds majority of all the members with voting rights. The articles of incorporation may be amended only by the affirmative vote of a majority of all directors and by the affirmative vote of two-thirds of all members with voting rights.

The 990 form is prepared by an independent accounting firm and the draft form is forwarded to the organization's management for review. A draft copy of the form 990 is provided to the members of the board of directors of crest view corporation for review and approval prior to filing.

A questionnaire is submitted to all directors at the beginning of the calendar year or at the time of their coming on the board. The bylaws require good faith, acting in the best interests of the corporation, and exercise of care of an ordinarily prudent person in discharge of the director's duties. The corporation's policy for conflicts of interest is governed by the provisions of minnesota statutes, chapter 317a. The statute provides when a director may vote provided disclosure is given, and when the director is disqualified from voting; the meaning of "material financial interest;" extent of conflicting family relations. Abstention from participation or vote on an issue of conflict is not mandated. The policy of the board is that the conflicted director should abstain from a vote on a matter in which a conflict exists.

On an annual basis, the board of directors, during the budget process, reviews and approves the ceo's compensation. In 2012 the board of directors was given a compensation survey by an independent accounting firm to review the ceo's against peers in the marketplace but no action was taken at that time. The ceo then reviews and approves the cfo's compensation on an annual basis.

The corporation holds, in trust, funds advanced by residents of crest view lutheran home to be used at each resident's discretion. The funds are maintained in a separate interest-bearing savings account and the corporation has a fiduciary responsibility for the administration of these funds.

The corporation, with the exception of the limited liability companies, has been granted exempt status relative to federal and minnesota corporate income taxes under section 501(c)(3) of the internal revenue code. The corporation's annual tax filings are subject to review by federal, state, and local authorities. The corporation is not aware of any activities that would jeopardize their tax-exempt status. The corporation is not aware of any activities that are subject to tax on unrelated business income or excise other taxes. The tax filings for the years 2011-2013 are open to examination by federal, local or state authorities.

THE CARE CENTER PARTICIPATES IN A FIVE MEAL PER DAY PLAN, EITHER IN HIS OR HER ROOM OR AT THE CENTRAL DINING LOCATION. THERE ARE SOCIAL AND RECREATIONAL PROGRAMS AND SPIRITUAL PROGRAMS.
