Governance Explanations

Program members include all youth and adults participating in camp fire programs. Voting members include officers, board of directors, and individuals age 15 and older who meet the board's requirement for service and financial support. Honorary members include individuals granted lifetime membership by the board of directors.

Form 990, Part VI, Section B, Line 11

The board's finance/audit committee will review the form 990, and has an opportunity to provide feedback before it is reviewed by the board of directors. Then the board of directors reviews the form 990 and feedback. Finally, the form 990 is submitted to the irs.

Form 990, Part VI, Section B, Line 12C

All board members, trustees or staff are required to complete and sign a conflict of interest disclosure. All actual and potential conflicts of interests shall be disclosed by board members, trustees or staff to the minnesota council executive committee through the annual disclosure form and/or whenever a conflict arises. The disinterested members of the minnesota council executive committee shall make a decision as to whether a conflict exists and what subsequent action is appropriate (if any). The decision is documented in the meeting minutes. Interested board members, trustee, or staff are prohibited from participating in debates and on voting matters. The minnesota council executive committee shall inform the board of such determination and action, and shall retain the ultimate enforcement authority with respect to the interpretation and application of this policy.

PART X, LINE 2:

The council and foundation are exempt from income taxes as public charities under section 501(c)(3) of the internal revenue code and applicable state statutes. However, income from certain activities not directly related to camp fire's tax-exempt purpose could result in taxable income. Camp fire follows guidance related to uncertainty in income taxes, recognizing tax benefits from uncertain tax positions only if it is more likely than not that the tax positions will be sustained on examination by taxing authorities. Camp fire has identified no significant income tax uncertainties. Camp fire's tax returns are open to examination for tax years 2010 through 2012. Camp fire had no income tax expense or cash payments for income taxes for the year ended december 31, 2013 and 2012.
