Governance Explanations

Form 990, Part VI, Section A, Line 1

The executive committee shall consist of: the chair; vice-chair; secretary and/or treasurer, if directors; the chairs of each standing committee: the president; and no more than three additional directors. The executive committee shall act, when necessary, in the interval between meetings of the board and at all times shall be subject to the control and direction of the board. The executive committee shall have general supervision of the administration and property of the corporation, and may exercise all of the powers of the board when the latter is not in session, except that, unless specifically empowered by the board to do so, it may not take action inconsistent with a prior act of the board which has included a statement that the executive committee shall not have power to change the action; amend the articles or bylaws; remove, suspend for more than sixty (60) days or appoint the president; sell, encumber, convey or otherwise dispose of more than $1,000,000 of the assets at fair market value of the corporation; or take any other action which has been reserved for the board in the articles.

Form 990, Part VI, Section B, Line 11

The initial draft of the form 990 will be reviewed by the organization's management. The internally approved form 990 will be provided a week in advance of both the finance committee and full board meetings for review. The finance committee will conduct a detail review and recommend approval to the full board. The form 990 will be reviewed by the full board with organization's management available to answer questions.

Form 990, Part VI, Section B, Line 12C

Individuals in key positions and members of the governing body are asked to sign a detailed disclosure of relationships that may give rise to possible conflicts of interest annually before year end for collection in january. Potential conflicts that develop during the year are disclosed to the direct supervisor or the board chair prior to engaging in any activity where a conflict may exist. Individuals are prohibited from making or influencing any decision or otherwise acting on behalf of the library in any situation where there is a conflict, potential conflict or appearance of conflict between the individual's personal interest and the best interests of the library. Annual disclosure forms are retained in the board book for reference throughout the year and any proceedings related to conflicts of interest are documented in the meeting minutes.

Form 990, Part VI, Section B, Line 15A

A committee of the board made up entirely of persons independent of the library, determined all compensation for disqualified persons (the president), relying upon the advice of legal counsel and appropriate comparbility data, with all such determinations documented in the minutes of the committee's meetings.

At the james j. Hill center our focus is centered on business, leadership and entrepreneurship, and at the heart of those three endeavors rests the concepts of community and optimism that are essential to the success of any idea. As technology has changed our traditional means of engagement, namely the book, our purpose as an institution has been clarified around not how we engage but where. In the entrepreneurial spirit of our namesake we have committed ourselves to redefining the notion of what it means to be a library; to change from an institution that allowed connections to happen to an institution that actively enables and fosters connections across the broad spectrum that is an economy. We commit ourselves and our resources to being an iconic place to learn, convene and connect - in the community, in business, in the arts, technology, innovation and celebration. Our goal is to provide relevance to our community and to build sustainable and lasting relationships that enable entrepreneurial activities and economic prosperity by encouraging the exchange of ideas and the pursuit of solutions.

Financial Statement Notes

PART III, LINE 1A:

The library owns a number of works of art, historical treasures, and similar assets that are held for public exhibition, education or research in furtherance of public service. These collections have not been capitalized, and they are being preserved by the library and are not held for financial gain.

PART V, LINE 4:

The organization's endowment continues to provide business reference materials free of charge to the public. The james j. Hill reference library (the "library") continues to provide free research information to many diverse clients and patron groups. To meet the needs of a changing economy and clients, the library has also expanded its services and committed its facilities and resources to being an iconic place to learn, convene and connect - in the community, in business, in the arts, technology, innovation and celebration. The library's goal is to provide relevance to the community and to build sustainable and lasting relationships that enable entrepreneurial activities and economic prosperity by encouraging the exchange of ideas and the pursuit of solutions.

PART X, LINE 2:

The library is tax exempt under section 501(c)(3) of the internal revenue code and the applicable minnesota statutes and, accordingly, is not subject to federal income taxes under section 501(a) of the code. The library has been classified as a publicly supported charitable organization under section 107(b)(1)(a)(vi) of the code and qualified for the maximum charitable deductions to donors. The library has adopted the income tax standards regarding the recognition and measurement of uncertain tax positions. The library has no current obligation for unrelated business income tax. The library's tax returns are open to examinations for the years 2011 through 2013.

In 2010 and 2011, the organization's accounting for the endowment was corrected, which resulted in a decrease of approximately $2.5 million in the value of the endowment. The decrease does not reflect money spent in those years. Rather, the decrease reflects that the removed funds should not have been considered part of the endowment.
