Governance Explanations

Form 990, Part VI, Section A, Line 1

The executive committee shall consist of: the chair, vice-chair, secretary and/or treasurer, if directors; the chairs of each standing committee: the executive director; and no more than three additional directors. The executive committee shall act, when necessary, in the interval between meetings of the board and at all times shall be subject to the control and direction of the board. The executive committee shall have general supervision of the administration and property of the corporation, and may exercise all of the powers of the board when the latter is not in session, except that, unless specifically empowered by the board to do so, it may not take action inconsistent with a prior act of the board which has included a statement that the executive committee shall not have power to change the action; amend the articles or bylaws; remove, suspend for more than sixty (60) days or appoint the executive director; sell, encumber, convey or otherwise dispose of more than $1,000,000 of the assets at fair market value of the corporation; or take any other action which has been reserved for the board in the articles.

Jamie slade and patrick moran are related - father-in-law, son-in-law, barry gisser was on the board, became a paid contractor/interim e.d. And is now back on the executive committee of the board.

Barry gisser served as paid contractor/interim executive direcor from january - april 2016. The initial draft of the form 990 is reviewed by the organization's management. A full copy of the form 990 is provided to the board and approved prior to filing along with the minnesota attorney general annual report.

Individuals in key positions and members of the governing body are asked to sign a detailed disclosure of relationships that may give rise to possible conflicts of interest annually before year end for collection in january. Potential conflicts that develop during the year are disclosed to the direct supervisor or the board chair prior to engaging in any activity where a conflict may exist. Individuals are prohibited from making or influencing any decision or otherwise acting on behalf of the library in any situation where there is a conflict, potential conflict or appearance of conflict between the individual's personal interest and the best interests of the library. Annual disclosure forms are retained in the board book of reference throughout the year and any proceedings related to conflicts of interest are documented in the meeting minutes.

PART III, LINE 1A:

The library owns a number of works of art, historical treasurers, and similar assets that are held for public exhibition, education or research in furtherance of public service. These collections have not been capitalized, and they are being preserved by the library and are not held for financial gain.

PART V, LINE 4:

The organization's endowment continues to provide business reference materials free of charge to the public. The james j hill reference library (the "library") continues to provide free research information to many diverse clients and patron groups. To meet the needs of changing economy and clients, the library has also expanded its services and committed its facilities and resources to being an iconic place to learn, convene and connect - in the community, in business, in the arts, technology, innovation and celebration. The library's goal is to provide relevance to the community and to build sustainable and lasting relationships that enable entrepreneurial activities and economic prosperity by encouraging the exchange of ideas and the pursuit of solutions.

PART X, LINE 2:

The organization has been granted exempt status relative to federal and state corporate income taxes under section 501(c)3 of the internal revenue code and applicable state codes. It has been classified as an organization that is not a private foundation. Therefore, charitable contributions are tax deductible. The organization follows the guidance outlined in the income tax topic of fasb accounting standards codification. The organization is subject to unrelated business income tax on james j hill events activities.

THE BOARD OF DIRECTORS OF JAMES J HILL CENTER IS COMPRISED OF LEADERS FROM THE COMMUNITY WHO UNDERSTAND THE CHALLENGES AND CAN FACILITATE INVOLVEMENT BY FUNDERS AND ENSURE ACCOUNTABILITY TO THE BROAD COMMUNITY THE ORGANIZATION SERVES.THE BOARD OF DIRECTORS HAS HIRED A NEW EXECUTIVE DIRECTOR, TAMARA PRATO, WHOSE FOCUS IS ON DEVELOPING AND EXPANDING THEIR PROGRAMING TO SERVE THE COMMUNITY IN WAYS THAT ARE RELEVANT TO MODERN DAY, WHILE STAYING WITHIN THEIR MISSION OF CONNECTING BUSINESS, ENTREPRENEURS AND COMMUNITY. THE ORGANIZATION IS CURRENTLY WORKING WITH THE CITY OF SAINT PAUL AND THE MINNESOTA DEPARTMENT OF EMPLOYMENT AND ECONOMIC DEVELOPMENT (DEED) TO DEVELOP NEW PROGRAMS WITH A FOCUS ON MINORITY BUSINESS ENTERPRISE, WHILE CONTINUING TO PROVIDE FREE RESEARCH INFORMATION TO DIVERSE COMMUNITY MEMBERS AND PATRON GROUPS. IN ADDITION TO THE NEW PROGRAMS BEING DEVELOPED, THE ORGANIZATION HAS TAKEN STEPS TO INCREASE PUBLIC FUNDING BY EXPANDING ITS MEMBERSHIP PROGRAM AND INSTITUTING A NEWLY DEVELOPED CORPORATE SPONSORSHIP PROGRAM THAT WILL BE INITIATED DURING 2017. IN ADDITION TO RELYING ON THEIR MEMBERS AND CORPORATE SPONSORS THE ORGANIZATION IS ACTIVELY PURSUING GRANT OPPORTUNITIES AND UTILIZING THE SERVICES OF PROFESSIONAL FUNDRAISERS.THE LIBRARY'S GOAL IS TO PROVIDE RELEVANCE TO THE COMMUNITY AND TO BUILD SUSTAINABLE AND LASTING RELATIONSHIPS THAT ENABLE ENTREPRENEURIAL ACTIVITIES AND ECONOMIC PROSPERITY BY ENCOURAGING THE EXCHANGE OF IDEAS AND THE PURSUIT OF SOLUTIONS.
