Form 990, Part VI, Section B, Line 11

The finance committee annually reviews the audit and 990 tax return as presented by the independent auditing firm. Once approved by the finance committee, the report is made to the full board of trustees by the treasurer. The 990 return is available for full review by all trustees on the secure section of the foundation's website prior to filing the return.

Each trustee receives a conflict of interest policy and annual disclosure statement at the beginning of the fiscal year. The executive director and associate director regularly monitor the activities of the trustees to make sure any voting or discussion of reported conflicts are in compliance with the policy.

The executive committee reviews the performance of the executive director over the previous year. The executive director does a self review and the committee seeks trustee input from the full board via a written questionnaire or by conducting phone interviews. Based on this information, the committee and executive director establish a vision for the coming year. The executive director and associate director perform a similar review process. The executive committee recommends any salary adjustments for both key staff, the executive director and associate director. Comparable data (including salary surveys from the council on foundations, association of small foundations and grant managers network) is used in determining salary adjustments for both key staff.
