The cfo distributes an electronic draft of the form 990 to officers, board members and management in advance of the filing deadline. Recipients are encouraged to ask questions, seek clarification, or offer suggestions if something needs to be changed. Once management has successfully respsonded to questions, the form 990 is filed by mvna's auditors on behalf of mvna.

The conflict of interest policy covers officers, directors and key employees. The policy is reviewed and signed annually by the covered persons. The forms are reviewed by the ceo. If a board member is aware of a conflict, he or she is expected to inform the organization and refrain from discussing and voting on matters affected by the conflict.

An independent compensation consultant was engaged by the board of directors to recommend compensation for the ceo, coo and cfo, the hr and governance committee worked with the independent consultant and mvna's hr director and reviewed compensation data from related organizations. The hr and governance committee made a final recommendation to the board of directors wo ultimately approved the executives' compensation.

Financial Statement Notes

PART V, LINE 4:

The permanent endowment held by the organization, as shown in lines 1 and 2, is restricted to investments to be held in perpetuity. The investment income from this endowment is expendable to support various health care services. Any investment income from the endowments held by an unrelated organization, and not shown on lines 1 and 2, are restricted to scholarships and general operating purposes.

PART X, LINE 2:

Mvna has been recognized by the internal revenue service (irs) as exempt from federal income taxes under internal revenue code section 501(c)(3). Mvna is annually required to file a return of organization exempt from income tax (form 990) with the irs. In addition, mvna may be subject to income tax on net income that is derived from business activities that are unrelated to its exempt purpose. The organization has determined it is not subject to unrelated business income tax and has not filed an exempt organization business income tax return (form 990t) with the irs. The organization follows the accounting standards for contingencies in evaluating uncertain tax positions. The organization files information returns as a tax exempt organization. Should that status be challenged in the future, all years since inception could be subject to review by the irs. The tax returns for the years 2011 to 2013 are open to examination by federal, state and local authorities.

WELLNESS SERVICES - ARE DESIGNED TO MEET WORKSITE AND COMMUNITY WELLNESS AND HEALTH PROMOTION NEEDS. BIOMETRIC HEALTH SCREENS INCLUDE: CHOLESTEROL, DIABETES, BLOOD PRESSURE, BODY MASS INDEX RESULTS, AND ONE-ON-ONE CONSULTATION WITH A REGISTERED NURSE. FLU CLINICS ARE OFFERED IN BUSINESS, SCHOOL, AND COMMUNITY SETTINGS AND ANNUALLY OVER 85,000 VACCINATIONS ARE GIVEN. EMPLOYEE TRAINING COURSES ARE OFFERED IN CARDIOPULMONARY RESUSCITATION (CPR), FIRST AID, AND AUTOMATED EXTERNAL DEFIBRILLATOR (AED) USE. PROCEEDS FROM THESE SERVICES HELP TO SUPPORT MISSION-BASED CLINICAL PROGRAMS AT MVNA THAT PROVIDE HEALTH CARE TO COMMUNITY MEMBERS.JUMPSTARTSCREENS - FOCUSES ON HEALTH SCREENING FOR CHILDREN NEWBORN TO 10 YEARS-OLD IN HENNEPIN COUNTY WHO ARE AT-RISK FOR HEALTH ISSUES DUE TO POVERTY, HEALTH EQUITY, AND/OR PSYCHOSOCIAL ISSUES THAT IMPACT HEALTH. SCREENINGS HAPPEN AT CHARTER SCHOOLS, LICENSED CHILD CARE CENTERS, HOMELESS SHELTERS, AND OTHER COMMUNITY SITES. PERSONAL CARE ATTENDANT (PCA)- ASSESSMENT PROGRAM PROVIDES IN-HOME CLINICAL ASSESSMENTS PERFORMED BY PUBLIC HEALTH NURSES (PHNS) TO EVALUATE QUALIFICATIONS FOR PCA SERVICES BASED ON DEPARTMENT OF HUMAN SERVICES' GUIDELINES. IN ADDITION, THE PHNS PROVIDE CLIENTS WITH RESOURCES AND REFERRALS TO OTHER PROGRAMS AND SERVICES TO HELP CLIENTS REMAIN INDEPENDENT IN THEIR HOME AND THE COMMUNITY.SCHOOL NURSE CONSULTATION - PROGRAM WORKS WITH CHARTER SCHOOLS THROUGHOUT THE METROPOLITAN AREA TO GUIDE THEM TOWARDS SAFE, COMPLIANT, AND HEALTHY LEARNING ENVIRONMENTS FOR ALL STUDENTS. LICENSED SCHOOL NURSES CREATE AND HELP IMPLEMENT INDIVIDUAL PLANS TO MEET THE NEEDS OF STUDENTS WITH SPECIAL HEALTH NEEDS, TRAIN STAFF, PROVIDE ASSESSMENT AND TEAM INPUT FOR SPECIAL EDUCATION, AND REFER TO COMMUNITY RESOURCES. UCARE CONNECT HAS TWO SUB-PROGRAMS WHICH ARE DESCRIBED BELOW:UCARE CONNECT CASE COORDINATION - IS AN INNOVATIVE HEALTH COVERAGE PLAN FOR UCARE MEMBERS WITH A CERTIFIED PHYSICAL DISABILITY, DEVELOPMENTAL DISABILITY, AND/OR MENTAL ILLNESS. IT IS A SPECIAL NEEDS BASIC CARE (SNBC) PROGRAM DESIGNED BY THE MINNESOTA DEPARTMENT OF HUMAN SERVICES (DHS). AS A DELEGATE FOR UCARE, MVNA'S SERVICE AREA FOR CASE COORDINATION IS HENNEPIN AND ANOKA COUNTIES. THE FOCUS IS ON MEMBERS WHO HAVE BEEN DETERMINED TO REQUIRE LONG-TERM CASE COORDINATION BEYOND 120 DAYS. THE ASSIGNED CASE COORDINATOR SERVES AS THAT MEMBER'S ADVOCATE, HELPING THE MEMBER NAVIGATE COMPLEX SOCIAL SERVICE AND HEALTH CARE DELIVERY SYSTEMS. UCARE CONNECT COMPLEX CASE MANAGEMENT - PROVIDES TELEPHONIC SERVICES THAT ARE SHORT-TERM WITH A MAXIMUM OF 90 DAYS. REGISTERED NURSES PROVIDE SERVICES FOR INDIVIDUALS 18-64 YEARS OF AGE THAT HAVE A CERTIFIED PHYSICAL DISABILITY, DEVELOPMENTAL DISABILITY AND/OR MENTAL ILLNESS. THIS PROGRAM IS DESIGNED BY THE MINNESOTA DEPARTMENT OF HUMAN SERVICES (DHS) SPECIAL NEEDS BASIC CARE (SNBC). NURSES WORK WITH THE CLIENTS TO IDENTIFY NEEDS, FACILITATE CARE, PROMOTE PRIMARY CARE RELATIONSHIPS AND PREVENT UNNECESSARY EMERGENCY ROOM VISITS AND HOSPITALIZATIONS.
