Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee is composed of the chair, chair-elect, president, chair of the finance/audit committee, group vice chairs, and vice chairs representing other affiliate organizations as deemed appropriate. The chair of the board serves as the chair of the executive committee. The executive committee acts for and on behalf of the board of directors when the board is not in session, but is subject to the direction and control of the board.

Any person, association, corporation, partnership, foundation, limited liability company, trust or estate who subscribes to the mission statement and objectives of the organization; who pays the annual dues or assessments prescribed, and who is accepted by the chamber is a member.

Form 990, Part VI, Section A, Line 7A

Each member is entitled to cast one vote; in no event will more than one vote be recorded. Any member association, corporation, partnership, foundation, limited liability company, trust or estate may designate one or more individuals to exercise the privileges of membership and has the right to change such designation upon written notice to the president of the chamber.

The board of directors is composed of forty plus persons elected by the members of the chamber for a three year term. In addition, the chair may recommend up to, but not more than, ten additional persons for election by the board of directors to serve as at-large members of the board for a term of one year. The president of the chamber is an ex-officio member of the board of directors. The current chair of the board of the saint paul area chamber of commerce charitable foundation, the current chair of the saint paul area chamber of commerce political action committee, and such other persons as the board of directors may designate, are honorary members of the board of directors, without the right to vote.

Management reviews the form 990 with the chamber's auditors and the chamber's finance committee. The chamber's board reviews the return prior to filing.

Form 990, Part VI, Section B, Line 12C

The chamber's conflict of interest policy covers all officers, directors, and executives including those as designated annually by the president of the chamber who are required to annually report relationships which may give rise to a conflict of interest. If a potential conflict of interest exists, said officer, director, or executive gives the board of directors of the chamber notice of such conflict of interest or relationship and thereafter refrains from voting or otherwise attempting to exert any influence on the chamber to affect its decision to participate or not participate in such transaction. The remaining members of the board of directors determine if an actual conflict of interest exists. All proceedings related to conflicts of interest are documented in the meeting minutes.

The executive committee reviews and approves compensation for the president based on comparable data for similar positions. The process was most recently contemporaneously substantiated in 2021. The president (brenda kyle) sets the pay for all other employees. Spacc participates in wage surveys with the mid-america chamber executives organization to benchmark salaries.

Financial Statement Notes

PART X, LINE 2:

The saint paul area chamber of commerce is exempt from federal income taxes under section 501(a) of the internal revenue code, since it is an organization described under section 501(c)(6), and comparable sections of the minnesota income tax statutes. The chamber generates unrelated business income from sales of its membership list and mailing labels, through direct mail activities, from a membership benefit program and from advertising income. Income taxes for unrelated business income activities are accrued and included in the consolidated statements of activities in the year incurred. The saint paul area chamber of commerce political action committee was organized under the minnesota statutes related to political committees and operates as a separate segregated fund of individual contributions as described by the internal revenue code. The committee is subject to income tax only on political organization taxable income. The committee had no such income in 2022 or 2021.
