Governance Explanations

The organization has three membership classifications in the association: voting, non-voting, and honored life members. Voting members elect the members of the governing body. Voting members approve significant decisions of the governing body. Non-voting members do not having voting rights within the organization. Honored life members: any individual, by approval and at the discretion of the board of directors, can be granted the designation. The honor may be bestowed on an individual who is a longstanding end product manufacturer or supplier member of the association who also meets two other qualifications documented in the bylaws.

Board members and the president are covered under the policy. This is monitored annually at nomination/election time. During the february or march board meeting, the policy is reviewed and acknowledged by the board as a whole. Conflicts of interest are brought to the ceo, then reviewed by other "disinterested" board members and a determination is made at that time. Resolutions vary from not being able to vote to being removed from the board.

Financial Statement Notes

PART X, LINE 2:

The association is exempt from federal and state income taxes under section 501(c)(6) of the internal revenue code therefore, the statements do not include a provision for income taxes but is subject to income tax on net unrelated business income. The association assesses whether it is more likely than not that a tax position will be sustained upon examination of the technical merits or the position, assuming the taxing authority has full knowledge of all information. If the tax position does not meet the more likely than not recognition threshold, the benefit of the tax position is not recognized in the financial statements. The association reviews income tax positions taken or expected to be taken in income tax returns to determine if there are any income tax uncertainties. This includes positions that the entity is exempt from income taxes or not subject to income taxes on unrelated business income. The association recognizes tax benefits from uncertain tax positions only if it is more likely than not that the tax positions will be sustained on examination by taxing authorities, based on the technical merits of the positions. The association has identified no income tax uncertainties. The association files information returns as a tax-exempt association. Should that status be challenged in the future, all years since inception could be subject to review by the irs.
