The cooperative is a member owned cooperative.

Each member of the cooperative has one vote in elections of the board members. The membership of the cooperative also votes for any changes to the by-laws.

Each member of the cooperative is allowed one vote on by-laws changes.

The cfo provides each director with a copy of the proposed form 990 prior to its filing with the irs. The board reviews and approves the form 990 prior to filing.

The cooperative regularly monitors and enforces compliance with their conflict of interest policy. Their legal counsel covers the policy on a regular basis with both directors and staff.

Employee compensation is determined by the ceo. The board has a compensation committee to determine the ceo's salary which is then approved by the full board. The ceo determines officer's pay. Compensation is compared to the national averages using 'nreca compensate'.

By-laws are sent to all new members through traditional mail or through a link in an email. Any by-laws changes are mailed to the cooperative's membership. Members can also request a copy of the by-laws. The articles of incorporation and bylaws are also published on the cooperative's website. The cooperative's conflict of interest policy is made available upon request. Financial statements are sent out annually in the cooperative's annual report to the membership.

Additional Explanations

FORM 990, PART IX, LINE 4:

As required by form 990 instructions, form 990, part ix, line 4 (benefits paid to or for members) includes patronage dividends paid. This amount is an expense for purposes of form 990, but is not recognized as an expense under g.a.a.p. Reporting requirements, which are used for book income. The result is a book to tax difference which is disclosed on part xi. In reference to part ix, line 4, the cooperative has interpreted "patronage dividends paid" as capital credits allocated to members under the preexisting obligations pursuant to the bylaws of the cooperative.

FORM 990, PART XI, LINE 9:

Loss from taxable subsidiaries -172,761. Retirement of capital credits -1,967,610. Allocated capital credits 10,682,407.

Form 990, Part XII, Line 2C

The finance committee of the board of directors meets monthly to review financials and gain a more in-depth understanding of the cooperative's financial health. The board, as a whole, is responsible for the oversight of the audit and selection of the independent auditor.

Financial Statement Notes

PART X, LINE 2:

The cooperative is exempt from income taxes under section 501(c)(12) of the internal revenue code. The cooperative's policy is to evaluate the likelihood that its uncertain tax positions will prevail upon examination based on the extent to which those positions have substantial support within the internal revenue code and regulations, revenue rulings, court decisions and other evidence. It is the opinion of management that the cooperative has no significant uncertain tax positions that would be subject to change upon examination. The federal income tax returns of the cooperative are subject to examination by the irs, generally for three years after they were filed. All filings are current.
