Board members know it is their duty to complete the annual disclosure forms, and to quickly call it to the board's attention of a conflict of interest transaction is contemplated.”

“The executive director's salary was approved by the board of directors, which has 5 directors, all of whom are independent. The executive director abstained from the vote as a conflicted board member. The board received independent information and advice from the organization's attorney, about the irs definition of "reasonable compensation- and information on what other executive directors in similar positions are paid, so comparables were used. Finally, there were notes taken contemporaneously that were promptly used to prepare official minutes of that board meeting, providing contemporaneous documentation and substantiation" of both the board'sdecision, and the board's proper use of the procedures in the irs conflict of interest policy, which was adopted by the board. In addition, the meeting was recorded, providing further contemporaneous substantiation.”

“These documents are included in the attachments to form 1023, which is publicly available. Additionally, the organization's articles of incorporation are publicly available on the idaho secretary of state website.”
