“The bylaws were amended to establish elected officers-directors. Officers shall be a chairperson, vice chair and secretary, elected by the board of directors to a term of two (2) years, beginning on december 1, 2016. Officer elections to be held biannually thereafter on even numbered years. Vice chair of new lawyers and women's caucus will be automatic members of wcjef. They also eliminated permanent directorships held by the president, president-elect and immediate past president of the wisconsin association for justice, inc. The meeting schedule is specified to include an annual meeting in december and quarterly regular meetings.”

“The organization does not have committees with authority to act on behalf of the governing body.”

“Before it was filed, a copy of the form 990, including required schedules, was reviewed by the chair, vice chair, secretary, and treasurer of the foundation. These individuals reviewed the form 990 by proofreading the information provided about the foundation, the answers to the questions and the supporting descriptions in schedule o, and the financial information presented.”

“The foundation annually sends a letter of explanation and the conflict of interest disclosure statement to each director. These individuals are expected to sign the statement and to inform the foundation president of any conflict. The conflict of interest policy of the foundation describes the procedures for the governing board to follow to address any conflicts of interest policy and/or violations of the policy.”

“The organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request.”
