M&m was the sole corporate member of the foundation until april 1, 2019 when the organization merged into aurora healthcare foundation.

The corporate member shall appoint all members of the board of directors of the foundation (other than the ex-officio members).

The corporate member has the following reserved powers: - to define the philosophy and mission and establish long-range goals, strategic plans and overall purposes consistent with the charitable purposes of bamc. - to review and approve budgets of the foundation. - to review and approve audited financial reports of the foundation. - to approve the transfer, merger or dissolution of the foundation or the sale, lease or other disposition of all or substantially all of the assets of the foundation. - to select the independent auditing firm. - to approve any action which would change the character of the foundation. - to initiate or approve all amendments to the articles of incorporation and bylaws of the foundation. - to appoint and remove the directors of the foundation, authorize vacancies, and determine the number of directors. - to approve the appointment or termination of the executive director of the foundation. - to initiate or approve long-term borrowing of money and other forms of long-term indebtedness.

The board of directors shall adopt and maintain a conflict of interest policy (the "policy"). Each director, officer and committee member shall sign, as a condition to serving the foundation in his or her respective role, a statement agreeing to be bound by the terms of the policy. The board or a committee to which disclosure is made shall thereupon determine, by majority vote (not including the interested director) whether the disclosure shows that a conflict of interest exists or can be reasonably construed to exist. If a conflict is deemed to exist such person may not vote on, nor use personal influence on, or participate (other than to present factual information to or respond to questions) in the discussions and deliberations with respect to such contract or transaction.
