Mission

To provide technology transfer services for the university of wisconsin campuses excluding the university of wisconsin-madison and university of wisconsin-milwaukee. The mission of wisys is to provide protection for technology through patents or other methods, for uw systems faculty's discoveries and to negotiate license agreements that enable industry to commercialize inventions from uw-systems institutions.

Governance Explanations

Form 990, Part VI, Section A, Line 7A

Two (2) members of the board shall be appointed by the wisconsin alumni research foundation; two (2) members of the board shall be appointed by the university of wisconsin-madison; two (2) members of the board shall be appointed by uw system; one (1) will shall be a university of wisconsin system chancellor nominated by the uw system president; two (2) university of wisconsin system campus alumni; and up to two (2) additional members as elected by the board of trustees.

Form 990, Part VI, Section B, Line 11

The form 990 is initially reviewed and approved by the cfo of warf, controller and other members of the management team. An electronic copy of the final version of the form 990 is subsequently provided to the board of trustees for review prior to filing.

Form 990, Part VI, Section B, Line 12C

Wisys managing director requires that the trustees review the conflict of interest policy and complete a conflict of interest questionnaire annually. Wisys reviews conflict matters as disclosed through the annual disclosure and on a rolling basis and considers them in the matter proscribed in its conflict policy. A conflict of interest committee of the board of trustees also meets as appropriate to consider conflict situations. All wisys employees sign a conflict of interest agreement. The agreement requirements are reviewed annually at an employee meeting. The hr department and the legal council also review any conflicts.

Form 990, Part VI, Section B, Line 15A

A) the organization retains an independent human resources consulting firm specializing in compensation activities to review compensation for the executive director. The consultant works with human resources, but reports to the board president. B) every three years, most often in april, the consultant provides comparative compensation data to the board president. C) the board president reviews a written summary of executive accomplishments for the fiscal year by july 31. This information may be shared with the board's executive committee. D) the board president reviews the executive evaluation, executive director's performance and determines the compensation adjustment. Any increase is effective july 1. E) the outside consultant provides a letter to the board president describing the consultant's role in establishing the rebuttable presumption of reasonableness standard under the intermediate sanctions regulations and how the consultant provided the analysis to determine the reasonableness of the executive compensation package.

Financial Statement Notes

PART X, LINE 2:

The foundation is exempt from federal income tax as an organization described in section 501(c)(3) of the internal revenue code. The foundation is also exempt from state income tax. The foundation follows guidance relative to the uncertainty in income taxes, which addresses the determination of whether tax benefits claimed or expected to be claimed on a tax return should be recorded in the financial statements. Under this guidance, the foundation may recognize the tax benefit from an uncertain tax position only if it is more likely than not that the tax position will be sustained on examination by taxing authorities, based on the technical merits of the position. Examples of tax positions include the tax-exempt status of the foundation, and various positions related to the potential sources of unrelated business taxable income (ubit). Any tax benefits recognized in the financial statements from such a position are measured based on the largest benefit that has a greater than 50 percent likelihood of being realized upon ultimate settlement.

IRS990ScheduleI/SupplementalInformationDetail/ExplanationTxt0THERE ARE THREE TYPES OF GRANTS AWARDED OR FACILITATED BY WISYS: UW SYSTEM GRANTS (ARG, PDF, SPECIAL GRANTS). WISYS FACILITATES AWARDING A NUMBER OF UW GRANTS SUCH AS ARG, PDF, AND SPECIAL GRANTS. FOLLOWING UW SYSTEM APPROVED PROCEDURES, WISYS SCREENS GRANT APPLICATIONS FROM ALL 26 CAMPUSES (USING EXTERNAL AND INTERNAL EXPERT REVIEW COMMITTEES). GRANT APPLICATIONS FROM FACULTY IS IN A STANDARDIZED FORMAT, AVAILABLE ON THE WEB SITES OF UW SYSTEM, CAMPUSES AND WISYS. A BOILER PLATE IS PROVIDED TO RECEIVE PROJECT DESCRIPTION, OBJECTIVES, TECHNOLOGY, MARKET, IP, MILESTONES, AND TIMELINES. WISYS AND THE REVIEW COMMITTEE ASSESS TECHNOLOGY, IP, MARKET, COST AND LICENSING ASPECTS TO DETERMINE THE ELIGIBILITY FOR FUNDING. WISYS MANAGES THE REVIEW PROCESS AND PROVIDES RECOMMENDATION TO UW SYSTEM. UW SYSTEM THEN AWARDS AND MANAGES FUNDING TO THE FACULTY. WISYS DOES NOT MANAGE THE BUDGET OR ACCOUNTS, BUT MONITORS THE PROJECTS AND REPORTS TO UW SYSTEM. THE AWARD INFORMATION IS PUBLISHED ON THE WEB SITE OF UW SYSTEM. STATE GRANTS (WISCAP). IN ONE OCCASION STATE HAD ALLOCATED FUNDS TO UW SYSTEM TO BE USED BY WISYS TO AWARD GRANTS TO UW 4 AND 2 YEAR CAMPUSES. FOLLOWING UW SYSTEM'S APPROVED PROCESS, WISYS SCREENS APPLICATIONS AND SUBMITS RECOMMENDATION TO UW SYSTEM. THE REVIEW PROCESS IS CONDUCTED INTERNALLY AND NO EXTERNAL REVIEW COMMITTEE IS SET UP, BUT ASSESSMENT OF ELIGIBILITY OF PARTIES, MARKET, TECHNOLOGY, COST AND IP ARE CONDUCTED. RISK ASSESSMENT OF EACH PROJECT IS ALSO CONDUCTED AND REPORTED TO UW SYSTEM. UPON APPROVAL, UW SYSTEM PROVIDES FUNDS TO WISYS WHICH THEN PASS ON TO UW CAMPUSES. THE GRANT WAS SPECIALLY DESIGNED TO WORK WITH WISCONSIN SMALL COMPANIES. WISYS MONITORS THE PROJECT AND SUBMITS REPORTS TO UW SYSTEM. ANNUAL REPORTS FOR WISCAP IS THEN SENT TO STATE FISCAL BUREAU. WISYS HAS OPERATIONAL RESPONSIBILITY FOR THIS GRANT, BUT UW SYSTEM HAS OVERSIGHT. THE APPLICATION, SCREENING PROCESS, ELIGIBILITY ARE ALL AVAILABLE THROUGH WISYS WEB SITE. WISYS GRANT (WITAG). WARF PROVIDED FUNDS TO WISYS TO BE USED IN RESEARCH AND DEVELOPMENT AND TECHNOLOGY TRANSFER. WISYS FOLLOWS THE SAME PROCEDURES FOR WITAG AS ARG AND WISCAP IN SCREENING APPLICATIONS AND ELIGIBILITY DETERMINATION EXCEPT THAT NO EXTERNAL REVIEW COMMITTEE IS SET UP. WITAG CAN BE USED FOR 4 AND 2 YEAR CAMPUS R&D PROJECTS AND OTHER TECHNOLOGY TRANSFER ACTIVITIES. WISYS MONITORS THE PROJECTS AND REQUESTS REPORTS FROM FACULTY. WISYS MANAGES THIS FUND AND HAS OPERATIONAL AND OVERSIGHT RESPONSIBILITIES. WISYS MAINTAINS RESEARCH PROJECT DESCRIPTIONS (TECHNICAL PLANS, BUDGET, MILESTONES ETC), RESEARCH REPORTS AND OUTCOMES. DOCUMENTATION REGARDING ANY IP ORIGINATING FROM EACH PROJECT IS ALSO MAINTAINED. EACH PROJECT FUNDING IS MONITORED AND GRANT ADMINISTRATORS ARE ASKED TO SUBMIT DETAILS OF BUDGET TO WISYS, WHICH IS THEN PASSED ON TO UW SYSTEM (ONLY FOR ARG, WISCAP, PDF AND SPECIAL FUNDS). ANY CHANGES IN BUDGET REQUIRES WRITTEN PERMISSION FROM WISYS AND/OR UW SYSTEM. WISYS REQUESTS ANY UNSPENT MONEY (FROM WISCAP OR WITAG) TO BE REMITTED TO WISYS.
