Mission

SEE PART I, LINE 1

To provide technology transfer services for the university of wisconsin campuses excluding the university of wisconsin-madison. The mission of wisys is to provide protection for technology through patents or other methods, for uw systems faculty's discoveries and to negotiate license agreements that enable industry to commercialize inventions from uw-systems institutions.

Governance Explanations

Form 990, Part VI, Section A, Line 4

A change was made to the bylaws in how trustees are elected. Trustees shall be elected to the board of trustees by affirmative vote of a majority of trustees then in office; provided that the board of trustees shall include the following individuals: two (2) members of the board appointed by the wisconsin alumni research foundation; two (2) members of the board appointed by the university of wisconsin-madison; two (2) members of the board appointed by the uw system; one (1) shall be a university of wisconsin system chancellor nominated by the uw system president; two (2) shall be university of wisconsin system campus alumni; and up to two (2) additional members as elected by the board of trustees.

Wisys managing director requires that the trustees review the conflict of interest policy and complete a conflict of interest questionnaire annually. Wisys reviews conflict matters as disclosed through the annual disclosure and on a rolling basis and considers them in the matter proscribed in its conflict policy. A conflict of interest committee of the board of trustees also meets as appropriate to consider conflict situations. All wisys employees sign a conflict of interest agreement. The agreement requirements are reviewed annually at an employee meeting. The hr department and the legal council also review any conflicts.

A) the organization retains an independent human resources consulting firm specializing in compensation activities to review compensation for the executive director. The consultant works with human resources, but reports to the board president. B) every three years, most often in april, the consultant provides comparative compensation data to the board president. C) the board president reviews a written summary of executive accomplishments for the fiscal year by july 31. This information may be shared with the board's executive committee. D) the board president reviews the executive evaluation, executive director's performance and determines the compensation adjustment. Any increase is effective july 1. E) the outside consultant provides a letter to the board president describing the consultant's role in establishing the rebuttable presumption of reasonableness standard under the intermediate sanctions regulations and how the consultant provided the analysis to determine the reasonableness of the executive compensation package.

In 2006, marshfield clinic research foundation (mc) and wisys technology foundation entered into a partnership to enhance research and development in each of the institutions, develop collaborations among leading edge scientists and foster the transfer of technology to benefit wisconsin. That project ended in april 2013.

Financial Statement Notes

PART X, LINE 2:

The foundation is exempt from federal income tax as an organization described in section 501(c)(3) of the internal revenue code. The foundation is also exempt from state income tax. The foundation follows guidance relative to the uncertainty in income taxes, which addresses the determination of whether tax benefits claimed or expected to be claimed on a tax return should be recorded in the financial statements. Under this guidance, the foundation may recognize the tax benefit from an uncertain tax position only if it is more likely than not that the tax position will be sustained on examination by taxing authorities, based on the technical merits of the position. Examples of tax positions include the tax-exempt status of the foundation, and various positions related to the potential sources of unrelated business taxable income (ubit). Any tax benefits recognized in the financial statements from such a position are measured based on the largest benefit that has a greater than 50 percent likelihood of being realized upon ultimate settlement. Form 990 filed by the foundation is subject to examination by the internal revenue service (irs) up to three years from the extended due date of each return. Forms 990 filed by the foundation are no longer subject to examination by the irs for fiscal years before 2011.
