“The executive committee shall act on behalf of the full board between regular meetings of the board of directors; provided, however, that the executive committee shall not have the power to elect or remove directors or officers of the corporation, including the president & chief executive officer, fill vacancies on the board of directors or on any board committee, or approve any corporate acquisition or merger.
