Form 990, Part VI, Section B, Line 12C

The organization's conflict of interest policy covers all officers and directors. Any director or officer who has a direct or indirect financial interest, as defined in the policy, is considered an interested person. Directors and officers are required to disclose any potential, apparent, or known conflicts of interest to the members of the governing body annually. The interested person will be excluded from the meeting while the other directors discuss the potential conflict of interest. The remaining members of the governing body will then determine whether an actual conflict of interest exists. Any interested person determined to have a conflict of interest will be excluded from the governing body's discussions and decision on the matter.
