“The organization amended and restated its by-laws on 06-24-2014. The significant changes to the by-laws are: A majority (formerly a specific number) of the board of directors may call a special meeting. The Executive Committee and Officers Committee have been eliminated. All decision making is vested in the board. The provisions regarding directors has eliminated the different classes of directors and removed the automatic board membership for past chairs and constiutuent agency chief volunteer officers. The number of directors shall be established from time to time by the board, but shall be not less than three and not more than thirty. Previously there were 75 directors. A quorum is satisfied by a majority (previously a specific number) of the directors. The Treasurer will appoint the Finance Committee and the number of members is reduced to 6 from 11. Committee tenure is changed to match the tenure for the committee chairs.”

“The board will be provided a copy prior to filing. The executive vice-president and a subcommittee of the board will review the Form 990 prior to filing.”

“MJF Housing No. 2, Inc. does regularly and consistently monitor and enforce compliance with the conflict of interest policy. Specifically, each year all board members are provided a copy of the policy and a statement to complete, sign and return. A committee reviews the statements for any conflicts and addresses any conflicts.”
