Governance Explanations

Form 990, Part VI, Section A, Line 8B

The organization did not have any committees with authority to act on behalf of the board. Should the organization ever have such a committee, meetings and actions will be contemporaneously documented.

Form 990, Part VI, Section B, Line 11

The form 990 was prepared internally by the organization and reviewed by the organization's public accounting firm. After an additional review by management, the form 990 was then distributed to the board of directors for their review for accuracy prior to filing with the irs.

Form 990, Part VI, Section B, Line 12C

The organization's board of directors, managing director, and directors are covered under the conflict of interest policy. If a conflict arises, the details of the relationship are reviewed by the human resource manager and the board of directors. The board of directors would review and make a decision regarding the alleged conflict. If any person is determined to have a conflict of interest, they would be excluded from situations to influence related decisions, and if necessary, administrative disciplinary action would be taken. Conflict of interest cases are documented by the human resources department and the board of directors.

Form 990, Part VI, Section B, Line 15

The organization contracted with compensation consultants that created a market based system using salary levels based on market skill sets. They developed salary ranges for each level based on market data and job descriptions. Board of directors: received advice from the contracted compensation consultant regarding their placement within the determined salary ranges. Directors: the board of directors reviewed the performance and experience within the levels on the market based system and determined their placement in an appropriate level and salary range. The directors receive increases each year based on performance. Managing director: the board of directors reviewed performance and experience within the levels on the market based system and determined placement in an appropriate level and salary range. The managing director receives increases each year based on performance. The position was originally benchmarked in 2007 and reevaluated in 2010 and 2012.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents available for public inspection. The organization does not make its financial statements or conflict of interest policy available to the public.
