“The members of alliance for strong families and communities, inc. Consist of organizations and/or individuals meeting the membership requirements for one or more of the classes of members as are established from time to time by the board of directors. Members are obligated to pay such dues and have such voting and other rights and privileges as are determined by the board of directors or the board's delegated committee. However, voting rights may not be eliminated or decreased without approval of a majority of such affected members. Those members having voting rights are entitled to one delegate to the national delegate assembly. Each delegate is entitled to one vote for all matters brought before the national assembly.”

“The delegate from each voting member and the board of directors meet annually as a national delegate assembly for the election of directors and the transaction of other business on a date and at a time fixed by the board of directors. The board of directors is divided into three classes, and one class is voted upon each year.”

Regularly and consistently monitors and enforces compliance with the conflict of interest policy in that any officer, director or key employee who has a direct or indirect financial interest must disclose the existence of the financial interest and be given the opportunity to disclose all the material facts to the officers or directors considering the proposed transaction or arrangement. The remaining directors or officers meeting will decide if conflicts of interest exist. Each officer, director and key employee annually signs a statement which affirms such person has received a copy of the conflict of interest policy, has read and understands the policy, and has agreed to comply with the policy.”

“In determining the compensation of the organization's officers and key employees, the process includes a review and approval by independent persons, comparability data, and contemporaneous substantiation of the deliberation and final decision. The organization receives a compensation study from a third party periodically, which compares the compensation of the organization's officers and key employees to similar organizations throughout the u.s. The compensation is reviewed and approved by the board of directors, and documentation is retained by the chief financial officer. The individuals are not present when their compensation is reviewed.”
