Governance Explanations

Form 990, Part VI, Section A, Line 1A

The board of directors by resolution may designate one or more committees, either standing or special. Each committee shall consist of two or more members of the board of directors and such other persons as may be nominated by the chair and ratified by the board of directors. These committees shall have and may exercise, when the board of directors is not in session, the powers of the board of directors in the management of the business and affairs of the foundation, except action in respect to election of officers or committees created.

The foundation has a single class of voting members and the sole member of that class is prairie ridge health, inc.

The following actions may be taken only by the board of directors, with the approval of the member: - amendment of the articles of incorporation of this foundation. - amendment of the bylaws of this foundation. - merger, consolidation, or dissolution of this foundation. - the creation of any subsidiaries or affiliates of this foundation. - any other action expressly requiring member approval under the articles of incorporation or these bylaws.

The board of directors is given the opportunity to review the return before it is filed with the internal revenue service. The form 990 is reviewed by either the senior accountant or finance manager of prairie ridge health, inc. For completion and accuracy and then also by the chief financial officer of prairie ridge health, inc.

Form 990, Part VI, Section B, Line 12C

The board of directors checks compliance with the conflict of interest policy annually. Should any potential conflict arise at any time, each director and officer shall promptly disclose such conflict in writing to the executive director of the foundation, who in turn shall promptly transmit the change in disclosure to the secretary/treasurer and the chairperson of the board of directors for review. If a conflict is deemed to exist, the individual with the conflict would be asked to not vote on the matter or leave the meeting.

Financial Statement Notes

PART V, LINE 4:

The foundation's endowments consist of five funds, four funds established to benefit the hospital: women's health, infrastructure improvements, community health, and general operations of the hospital and one established for healthcare scholarships. Each fund is maintained by the foundation in various investments, and the foundation is responsible for all investment decisions.

PART X, LINE 2:

The organization believes that it has appropriate support for any tax positions taken affecting its annual filing requirements and, as such, does not have any uncertain tax positions that are material to the consolidated financial statements. The organization would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense, if such interest and penalties are incurred.
