The organization amended its bylaws to include board approval for all expenditures in excess of $10,000, allow for action by written consent of two-thirds of the board, and allows for directors to consent and attend meetings using current technology.

The organization has a written conflict of interest policy which is given to board members annually to complete and disclose any interests that could give rise to conflicts. These disclosures are reviewed by management annually and any conflicts are conveyed at the meeting of the board of directors after signed documents have been received.

Form 990, Part VI, Section B, Line 15A

Initial compensation for the recently hired president was determined by the search committee, comprised of several board members. With assistance from external sources, the committee determined that compensation to be paid to the president was reasonable and comparable to amounts paid by similarly situated organizations. The annual compensation review is conducted by the chairman and approved by board members. Various compensation surveys of similarly situated organizations are used in the review process.

As of march 31, 2014, and for the year then ended, there were no material unrecognized/derecognized tax benefits or tax penalties or interest. The institute files various federal and wisconsin non-profit tax returns. With few exceptions, the institute is not subject to u.s. Federal or wisconsin income tax. The institute is no longer subject to u.s. Federal or state examinations by tax authorities for tax years prior to 2011 and 2010, respectively.
