For an employee, the conflicting situation will be eliminated, the employee will be removed from the deliberation and decision process, or the situation will require the approval of the ceo. If a conflict of interest is discovered after the transaction is complete, the board of directors will be notified if it is a board member or the ceo with the conflict and the ceo will be notified if it is an employee with the conflict. The action taken will depend on severity of the conflict and the impact of the transaction.”
