Governance Explanations

Form 990, Part VI, Section A, Line 6

The organization has the following classes of members: member firms, affiliate member firms, life/retired members, honorary members. Only member firms have voting rights.

Form 990, Part VI, Section A, Line 7A

Member firms have the right to elect the members of the governing body.

Form 990, Part VI, Section A, Line 7B

Changes to the organization's bylaws are subject to ratification by the member firms.

Form 990, Part VI, Section B, Line 11B

The prepared form 990 is first reviewed by management and is then reviewed and approved by the governing body before the return is filed with the irs.

Form 990, Part VI, Section B, Line 12C

In addition to the conflict of interest statement signed by each director, each meeting of the governing body begins with affirmation that no director has a conflict. Each committee meeting also begins by affirming that no member has a conflict. The conflict of interest policy is linked to all meeting agendas - therefore it is provided to all committee members at each meeting. Any persons with a conflict must recuse themselves from the governing body's and/or committee's discussions and decisions on the transaction.

Form 990, Part VI, Section B, Line 15

Base compensation (or wage) for the coo and the president shall be initially determined based on the market value for similar positions as well as on relative experience. Adjustments to base compensation shall be considered annually near the close of the fiscal year to allow consideration of the organization's financial performance in determining the adjustment, if any. It is intended that the adjustment be determined early enough to allow it to go into effect with the beginning of the new fiscal year and to be reflected in the budget. To accomplish this the board should set a special compensation review meeting no later than the last scheduled fiscal year board meeting. Factors to consider when determining adjustments to annual base compensation should include: performance and development of the employee, the current wage for similar positions, changes to the consumer price index, the labor market, and the financial performace of the organization. The assessment of each employee's performance shall be based in part on the annual review of the president by the board, and of the staff by the president. It is imperative that these reviews be completed and shared with the board prior to convening the compensation review meeting. The president shall make a recommendation to the board regarding adjustments to annual base compensation for all staff other than the president, but the final decision on all wage adjustments rests with the board. It is intended that the adjustment be determined early enough to allow it to go into effect with the beginning of the new fiscal year and to be reflected in the budget. To accomplish this the board should set a special compensation review meeting no later than the last scheduled fiscal year board meeting.

Form 990, Part VI, Section C, Line 19

The organization's governing documents and conflict of interest policy are posted on its website. The organization does not make its financial statements available to the public.

IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt0THE ORGANIZATION HAS THE FOLLOWING CLASSES OF MEMBERS: MEMBER FIRMS, AFFILIATE MEMBER FIRMS, LIFE/RETIRED MEMBERS, HONORARY MEMBERS. ONLY MEMBER FIRMS HAVE VOTING RIGHTS.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt1MEMBER FIRMS HAVE THE RIGHT TO ELECT THE MEMBERS OF THE GOVERNING BODY.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt2CHANGES TO THE ORGANIZATION'S BYLAWS ARE SUBJECT TO RATIFICATION BY THE MEMBER FIRMS.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt3THE PREPARED FORM 990 IS FIRST REVIEWED BY MANAGEMENT AND IS THEN REVIEWED AND APPROVED BY THE GOVERNING BODY BEFORE THE RETURN IS FILED WITH THE IRS.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt4IN ADDITION TO THE CONFLICT OF INTEREST STATEMENT SIGNED BY EACH DIRECTOR, EACH MEETING OF THE GOVERNING BODY BEGINS WITH AFFIRMATION THAT NO DIRECTOR HAS A CONFLICT.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt5BASE COMPENSATION (OR WAGE) FOR THE COO AND THE PRESIDENT SHALL BE INITIALLY DETERMINED BASED ON THE MARKET VALUE FOR SIMILAR POSITIONS AS WELL AS ON RELATIVE EXPERIENCE.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt6THE ORGANIZATION'S GOVERNING DOCUMENTS AND CONFLICT OF INTEREST POLICY ARE POSTED ON ITS WEBSITE. THE ORGANIZATION DOES NOT MAKE ITS FINANCIAL STATEMENTS AVAILABLE TO THE PUBLIC.
