Form 990, Part VI, Line 1A Delegate broad authority to A committee

The Executive Committee is composed of 5 members of the board. The committee has the authority to review and establish the CEO contract, executive level compensation and supplemental retirement plans, assess board and officer composition, recruitment and performance, and update board policies and procedures.

Form 990, Part VI, Line 4 Significant changes to organizational documents

Agrace Health, Inc. became the sole member of Agrace Hospicecare, Inc. effective November 1, 2024.

Form 990, Part VI, Line 11B Review of form 990 by governing body

The Controller and CFO performed a detailed review of Form 990 and the related schedules prior to filing the return. This included verification of all amounts for accuracy and completeness. The form and schedules were also reviewed for content, presentation and reasonableness. The entire Form 990 is made available to the entire executive leadership team and an entity specific highlights summary is provided. The entire Form 990 is provided to the entire Board of Directors prior to filing and is accompanied by a 990 highlight summary. The audit committee reviewed the Form 990 and related schedules for reasonableness. The Controller prepared a detailed summary of the Form 990 that was presented to the board of directors by Management.

Form 990, Part VI, Line 12C Conflict of interest policy

Directors, officers, community committee members, and key employees (interested persons) are required to annually review the organization's Standards of Conduct, including the conflict-of-interest policy/statement. Interested persons are required to disclose potential or actual conflicts with the organization in writing via the annual questionnaire distributed electronically to each interested person. When a disclosure arises, the person shall promptly make disclosure of the interest to the governing board or committee. After disclosure and discussion, the interested person shall leave the governing board or committee meeting while the determination of a conflict of interest is further discussed and voted upon by the remaining disinterested governing board or committee members. Once an actual conflict of interest exists with respect to a particular contract, transaction, or arrangement the disinterested members of the board exercise due diligence to determine whether said contract, transaction or arrangement is reasonable. The conflict-of-interest questionnaires are reviewed by the Controller and Governance Manager. The Controller and Governance Manager determine whether a potential conflict exists based on the completed questionnaires submitted by each interested person. The result of that determination is reviewed with the CFO and CEO and approved by the Agrace Board.

Form 990, Part VI, Line 15A Process to establish compensation of top management official

Each year the organization gathers market data for determining compensation of the chief executive officer. This includes benchmarks of national, regional, and local compensation that are provided from independent compensation surveys. The VP, Human Resources presents this information to the executive committee of the board, along with pertinent 990 compensation reporting by similar sized non-profit hospices. Based on this information, the executive committee sets and approves the compensation package for the chief executive officer for the year and contemporaneously documents their approval in writing. THIS PROCESS WAS LAST UNDERTAKEN FEBRUARY 2024.

Form 990, Part VI, Line 15B Process to establish compensation of other employees

Every other year the organization gathers market data for compensation of the executive leadership team. This data includes benchmarks of national, regional, and local compensation that are provided from independent compensation surveys. Executive leadership pay is adjusted based on: 1) years of experience; 2) performance; and 3) market data for the 65th percentile of total compensation for the position. The VP, Human Resources presents the market data information to the executive committee of the board. Based on this information, the executive committee of the board approves the compensation package for the executive leadership team and documents their approval in writing. THIS PROCESS WAS LAST UNDERTAKEN FEBRUARY 2023.

SIGNIFICANT MISSION-RELATED ACTIVITY TOOK PLACE IN 2024: In 2024, Agrace served a total of 5,567 individual patients and clients through its Hospice Care, Palliative Care, Age at Home and Adult Day Center programs. Agrace Earns No. 5 Large Employer Award:Agrace was named the #1 Top Workplace among large companies in Madison by the Wisconsin State Journal. Winners of the Top Workplaces list are chosen solely on feedback from an employee survey. Agrace introduces Dementia Support Services As more and more people are now caregiving for a loved one who has memory loss, Agrace introduced Dementia Support Services that can provide guidance long before a person is eligible for hospice care. The "Learning to Live with Dementia" education series helps people (and their families) who are living with early- to mid-stage Alzheimer's disease or other dementias and need answers about the illness, how to access care and planning for future care decisions. During an Agrace Care Consultation, Agrace's dementia support specialist meets with individuals in person or virtually to offer personalized information and guidance. Agrace Establishes Operations in Milwaukee County In late 2024, Agrace opened a new office in Wauwatosa, Wis. from which it would establish hospice care operations serving all of Milwaukee Countying beginning in January, 2025. With this expansion, Agrace is able to serve people living throughout southern Wisconsin all the way from the Mississippi River to Lake Michigan. Agrace Implements New, High-quality Spanish Translation of Agrace.org Having health information in your preferred language is vital, but most instant translation apps are not reliable enough for medical content. After months of research and testing, Agrace began using a high-quality website translation tool that allows users to instantly switch between English and espanol on Agrace.org by clicking in the upper right corner. Agrace Recognized as Recipient of Crystal Vision Award In celebration of Eye Donation Month, Agrace was recognized by the Lions Eye Bank of Wisconsin as a recipient of the 2024 Crystal Vision Award. In 2023, Agrace made a total of 27 donor referrals, helping recipients in Wisconsin, the United States, and worldwide-including individuals in Egypt and Morocco. This award is presented annually to hospices, hospitals and other community partners who demonstrate outstanding commitment and dedication to furthering the mission of giving the gift of sight, through organ and tissue donation. Agrace Named Partner of Solace Friends Inc. Agrace is proud to be one of four hospice providers supporting Solace Home, a newly opened adult family home in Madison for individuals with terminal illnesses who are unhoused or facing housing insecurity. This four-bedroom facility, created by Solace Friends, ensures compassionate end-of-life care for those in need. Agrace remains committed to expanding access to hospice care, regardless of financial or housing circumstances.

AGRACE HOSPICECARE PROVIDES CARE TO PATIENTS WHO MEET CERTAIN CRITERIA UNDER THE ORGANIZATION'S CHARITY CARE POLICY WITHOUT CHARGE OR AT AMOUNTS LESS THAN ESTABLISHED RATES. SUCH PATIENTS ARE IDENTIFIED BASED ON FINANCIAL INFORMATION OBTAINED FROM THE PATIENT AT THE TIME THEY ENROLL IN THE PROGRAM OR SUBSEQUENT CHANGES TO THEIR FINANCIAL CIRCUMSTANCES. In July 2021, Agrace opened its doors to a freestanding Adult Day Center located at 1702 W. Beltline Highway, Madison. The Center is a safe, supportive place for older adults who need companionship and help with daily activities. As clients enroll at the Center, they have a functional assessment to help our staff understand their needs and interests so what they like can be woven into their daily activities. In 2024, the Center provided daytime care to 120 clients. In November 2024, Agrace Health, Inc. became the member of Agrace Adult Day Center.

The organization is included in the consolidated audited financial statements of Agrace Health, Inc., a related organization. Agrace Health, Inc.'s Fin 48 (ASC740) Footnote for the year ended December 31, 2024 reads as follows: The Organization is exempt from income taxes on income from related activities under Section 501(c)(3) of the U.S. Internal Revenue Code and corresponding state tax law. Accordingly, no provision has been made for federal or state income taxes. Additionally, the Organization has been determined not to be a private foundation under Section 509(a) of the Internal Revenue Code. U.S. GAAP requires that a tax position is recognized as a benefit only if it is "more likely than not" that the tax position would be sustained in a tax examination, with a tax examination being presumed to occur. The amount recognized is the largest amount of tax benefit that is greater than 50% likely of being realized on examination. For tax positions not meeting the "more likely than not" test, no tax benefit is recorded. The Organization's Forms 990 have not been subject to examination by the Internal Revenue Service or the state of Wisconsin for the last three years. The Organization does not expect the total amount of unrecognized tax benefits to significantly change in the next 12 months. The Organization recognizes interest and/or penalties related to income tax matters in income tax expense. WORKING TOGETHER, AGRACE STAFF, TRAINED VOLUNTEERS, AND THE PATIENT'S PHYSICIAN DELIVER COMPREHENSIVE CARE FOCUSED ON HELPING THE PATIENT AND THEIR FAMILY LIVE LIFE TO THE FULLEST. Agrace also provides palliative care services for people who have a serious illness but are not receiving hospice care.
