“The corporation has three classes of members: Voting, Associate, and Honorary members. Voting members are any exempt organizations under section 501(c)(3) or 501(c)(4) of the Internal Revenue Code or a unit of government owning an organization primarily serving the elderly or persons with a disability. Associate members include (a) any individuals not a member of the staff or on the board of directors of an organization primarily serving the elderly or persons with a disability, who is engaged in a related field of activity or interested in the purposes of the organization, or (b) any exempt organization under 501(c)(4) of the Internal Revenue Service Code which is engaged in a related field of activity or interested in the purposes of the organization, or (c) any for-profit organization which provides products or services useful to LeadingAge Wisconsin and its members. Honorary members upon the initiative and recommendation of the Executive Committee are any individuals who with distinction have served the organization or have added to the support of its principles. Each voting member is entitled to be represented by two representatives designated by the voting member. Any voting member with less than fifty beds shall be entitled to one representative as designated by the voting member. Associate and honorary members are not entitled to vote.”

“Voting members elect the board of directors annually.”

“The Audit Committee reviews the Form 990 before being filed with the Internal Revenue Service. The committee advances any concerns to Leading Age Wisconsin's Executive Committee.”

“Members of the board, officers, and employees are required to submit an annual disclosure of conflict of interest form. The Board of Directors will determine whether or not conflicts exist. If the Board determines that a conflict does exist, the Board determines the approprite remedy. Such remedy may include, for example, the recusal of the conflicted party from participating in certain matters pending before the Board or other LeadingAge Wisconsin body.”

“The salary for the Executive Director is determined by the Leading Age Wisconsin Executive Committee. The Executive Committee recommends the annual salary increase available to distribute to the 5 other employees in the office.”

“The organization makes it governing documents, conflict of interest policy, and financial statements available to the public upon request.”
