A first review is done by the administration; then, the executive committee of the board of directors, with authorization of the board, reviews and approves the form 990. The board is then informed about the filing.

Each year the full threshold board of directors, at an officially called meeting, reviews the conflict of interest policy; each board member then signs a statement of compliance with the policy which is held on record.

Form 990, Part VI, Section B, Line 15A

The process for determining the executive director's compensation begins each fall with a formal performance evaluation conducted by the board of directors. The board president compiles the results of this evaluation and provides a summary to the executive committee for its review. The executive committee, which is composed entirely of independent members of the board, then meets to determine the executive director's compensation for the following year. In making its decision, the committee relies on this performance review and on objective comparability data from a compensation survey conducted by mra, a regional hr services firm, showing compensation levels for similar positions at peer non-profit organizations. The committee's deliberation and final decision, including the factors and data it considered, are documented in the meeting minutes to substantiate the determination.

The threshold foundation, inc. Holds endowment funds which are board designated or quasi-endowment and have an intended use of supporting the threshold incorporated's programs.

PART X, LINE 2:

The threshold incorporated and the threshold foundation are not-for-profit organizations which are exempt from income taxes under section 501(c)(3) of the internal revenue code as other than a private foundation. The organization evaluates their uncertain tax positions on an annual basis, and there have been no uncertain tax positions recorded in 2024 and 2023. Therefore, no provision or liability for income taxes has been included in the consolidated financial statements. The threshold incorporated and the foundation file various federal or state non-profit tax returns. Threshold incorporated and the foundation are no longer subject to u.s. Federal or state examinations by tax authorities for tax years prior to 2021.
