“Mra has two classes of members: regular and associate members. Regular members of the association shall be employers located in the states of wisconsin, illinois, iowa, minnesota, missouri, nebraska, north dakota, south dakota, and such other states as determined by the board. Regular members shall have all rights and privileges of membership, including the right to one vote on each matter submitted to a vote of the members. Associate members of the association shall be employers located outside the states of wisconsin, illinois, iowa, minnesota, missouri, nebraska, north dakota, south dakota, and such other states as determined by the board. Associate members shall have all rights and privileges of membership, including the right to one vote on each matter submitted to a vote of the members, except that they shall not have the right to serve as an officer or director.”

“Mra's membership elects the members of the governing body and its officers. The nominees for directors and officers for a given year are sent to the primary contact persons at all of mra's member companies.”

“The bylaws may be amended by a majority vote of a quorum of the board at any regular or special meeting or by a two-thirds vote of a quorum of the members at any annual or special meeting provided that at least ten (10) days' written notice of the proposed amendment(s) has been delivered to the directors or members, as appropriate, prior to the meeting.”

The president reviews these statements for potential conflicts of interest and the executive assistant maintains a file for follow-up and responses. In connection with any actual or potential conflict of interest, an interested person must disclose the existence of the conflict of interest and be given the opportunity to disclose all material facts to the directors and officers. After disclosure of the conflict of interest and all material facts are reviewed, the interested person shall leave the meeting of the governing body or committee while the conflict of interest is discussed and a decision is made by the remaining members of the governing body or committee. The directors or officers conduct periodic reviews to ensure the association does not engage in activities that could jeopardize its tax-exempt status.”

“The compensation committee, which is comprised of members of the governing body, along with the president and ceo, annually conducts a review of compensation of the association's officers and employees. The compensation committee also annually conducts a performance review of the president and ceo and determines the president and ceo's compensation. Using comparable market data, the committee reviews goals and performance achievement. Every few years the committee also conducts a benefits review using comparable market data. The president and ceo, annually conducts a review of compensation of the key officers and shares that analysis with the compensation committee, a special committee formed by members of the board of directors. The president and ceo conducts performance reviews with each key officer and shares the annual goals and outcomes/results with the compensation committee along with a recommendation for variable payout. The compensation committee provides guidance on the percent of payout for each key officer based on achievement of goals. Market benchmarking of these roles occurs approximately every 2-3 years.”
