“The executive committee shall consist of the chair, the vice-chair, secretary, treasurer, and the immediate past chair elected for a two-year term by the directors in odd-numbered years. Between meetings of the board, the affairs of the corporation shall be conducted by the executive committee.”

“The organization has three levels of members: full member, associate member and affiliate member. Full membership is open to four-year independent nonprofit colleges and universities headquartered in wi offering the baccalaureate, masters, or doctoral degree, which are accredited by an accrediting body recognized by the us department of education. Associate membership is open to independent, nonprofit postsecondary educational institutions headquartered in wi offering graduate degrees and enrolling three hundred students or less ,and not otherwise qualifying for full membership. Affiliate membership is open to independent, nonprofit postsecondary educational institutions headquartered outside of wi.”

“Full members are able to attend board and executive committee meetings, to vote and hold office. Associate members and affiliate members are not eligible to attend board meetings, vote, or hold office.”

“The form 990 is distributed to the full board of directors at least one week prior to its fall meeting. The full board of directors votes at the meeting to accept the prepared form 990 for filing with the irs.”

“Annually, all directors, officers and key employees complete a form to disclose all conflicts of interest. The completed and signed forms are reviewed and kept at waicu's office with the coo. If a potential transaction or interest that could result in a conflict of interest, that individual must bring it to the attention of the president/ceo of waicu at that time. The president/ceo determines if there is a conflict and decides the action to be taken, if any.”

“The executive committee conducts an annual performance evaluation of the president. The committee reviews a study prepared by the california private college association on behalf of the national association of independent colleges and universities state executives (naicuse) and another study prepared by the college and university professional association for human resources (cupa_hr) when considering compensation for the president and other key employees. This compensation is approved within the annual budget at a board meeting and documented in the meeting notes.”

“The governing documents, conflict of interest policy, and financial statements are available to the public upon request.”

“The wisconsin higher educational aids board (heab), which administers state-appropriated funds for these students attending our institutions, has exhausted its resources midway through the spring semester. This has left approximately 2,250 of our neediest students without promised financial support. Pushing funding towards this shortfall to help out the students.”
