Governance Explanations

Form 990, Part VI, Section A, line 1

The Executive Committee consists of all officers of the corporation who are directors of the corporation, the chairperson of each of the standing committees, except the Board Development Committee, and additional members of the Board known as Members at Large elected annually at the time of election of officers. The Executive Committee conducts the business of the Corporation between regular Board of Directors' meetings within the general policies set by the Board of Directors.

Form 990, Part VI, Section B, line 11B

The Form 990 is prepared and reviewed by an independent CPA firm, reviewed in detail and approved by certain members of the organization's board and management, and a final copy of the return as filed with the IRS is presented to the full board before filing with the IRS.

Form 990, Part VI, Section B, line 12C

Board members and officers are required to disclose potential conflicts on an annual basis. The Board Chairman and Board Secretary monitor the process. Should any potential conflicts of interest be disclosed, the board member or officer would be asked to refrain from participation in any deliberation or decision with regard to matters affected by the relationship.

The Board of Directors reviews and approves the compensation for the President and other officers of the organization. The Board of Directors uses comparability data in their analysis. Their decision is documented in the board minutes.

Compensation reported in Part VII, column D is the amount reported on the individual's W-2, box 1 or 5 (whichever amount is greater) per the IRS instructions. Employee deferrals to qualified retirement plans are normally captured in box 5, not box 1 of Form W-2. IRS990/Desc0Shepherds College is the country's leading three year post-secondary education program for students with intellectual disabilities. The College offers career skills, a smooth transition to Appropriate Independence and a lasting awareness of God and His plan for the student's life. Bible training, prayer and spiritual values are stressed through Bible and music enrichment classes and unit devotionals. Residents attend Sunday services and Wednesday evening church services on or off campus. The weekly chapel service is another highlight. These services offer Compassionate Christian Care for the Intellectually Disabled. The ministry is Bible-based and Christ-centered. Operations are funded primarily from payment for tuition fees with contributions from Shepherds Foundation.

Programming for residents as well as care for the staff is filtered around these values. 61 individuals reside at or near Shepherds and enjoy full-time, year-round care. Core values are considered in all that is offered, which includes training in living skills, as well as spiritual and social enrichment. Shepherds has a core philosophy of Appropriate Independence. Bible training, prayer and spiritual values are stressed. Program participants attend Sunday services and Wednesday evening church services on or off campus. These services offer Compassionate Christian Care for the Intellectually Disabled. The ministry is Bible-based and Christ-centered. Operations are primarily funded by contributions from Shepherds Foundation as the funding from family, guardian and third party sources is insufficient to cover the expenses of this ministry. During the year ended June 30, 2018, Shepherds discontinued the Endeavor residential program. This decision was made as part of a strategic direction to focus Shepherd resources on Shepherds College and build a sustainable future. The Endeavor residential program program included revenue of $440,870 and expenses of $856,288 for a loss on discontinued operations of $(415,418).
