Governance Explanations

Form 990, Part VI, Section A, Line 1

The board of directors shall have an executive committee consisting of the officers of the association. The president shall serve as chair of this committee and the chief executive officer shall function, without vote, as its secretary. The executive committee shall be empowered to act for and on behalf of the board of directors between meetings of the board, except as otherwise provided in the bylaws. Actions taken by the executive committee shall be reported to the full board of directors as soon as practicable, shall be subject to review and ratification by the board, and shall be recorded in the minutes of the board of directors.

Form 990, Part VI, Section A, Line 6

Persons admitted as members shall a) possess an earned baccalaureate or higher degree in science or medicine or the academic equivalent of the above, and b) be engaged in professional activities commonly associated with the practice of clinical chemistry. Only members who are in good standing shall have any right, title, or interest in the property and funds of the association. Only members may hold association office or association board, commission, committee, or task force memberships, and vote in elections of the association or any of its units. Only members may represent the association in professional matters. The classes of members are as follows: professional members: individuals who have earned a baccalaureate or higher degree in science or medicine or the academic equivalent of the above and are engaged in professional activities commonly associated with the practice of clinical chemistry and laboratory medicine may be admitted as professional members. The professional member shall have the right to vote, to make nominations, to hold elected office, and to chair, serve and vote on committees, and other privileges as determined by the board of directors. Professional affiliate members: individuals who have an interest in the field of clinical chemistry and laboratory medicine may be admitted as professional affiliate members. The professional affiliate member shall not have the right to vote, to make nominations, to hold elected office, nor to chair committees, but may be entitled to other privileges as determined by the board of directors. Trainee members: individuals who are engaged in formal full time undergraduate, graduate, or post-graduate study may be admitted as trainee members. "full time" is to represent any combination of course work, teaching and/or research assistantships, or fellowships that the respective institution considers a full-time load. The trainee member shall not have the right to vote, to make nominations, to hold elected office or to chair committees, but may be entitled to other privileges as determined by the board of directors. Transitional member: trainee members and individuals seeking first-time membership who have completed formal undergraduate, graduate, or post-graduate study may be admitted as transitional members for a period of two years. The transitional member shall have the right to vote, to make nominations, to hold elected office, and to chair, serve and vote on committees, and other privileges as determined by the board of directors. Express member: individuals who practice laboratory medicine in an emerging economy country or individuals from any country who hold a laboratory-related position in the health care industry are eligible for express membership. The express member shall not have the right to vote, to make nominations, to hold elected office, nor to chair or sit on committees, but may be entitled to other privileges as determined by the board of directors. Emeritus member: individuals 65 years or older who have been full members in good standing for a period of twenty or more years, and who are retired from the active practice of clinical chemistry and laboratory medicine may, upon written request to the association, become emeritus members. The emeritus member shall retain all the rights of a full member except the right to hold elected office and is exempt from the payment of dues but may be entitled to other privileges as determined by the board of directors. Honorary member: individuals who have attained distinction by their contributions to clinical chemistry and laboratory medicine may be named honorary members of the association by the board of directors. The honorary member shall not have the right to vote nor hold elected office in the association nor be required to pay dues but may be entitled to other privileges as determined by the board of directors.

The board of directors shall consist of the officers of the association and six (6) members elected from and by the voting members of the association. The chair of the aacc academy council and the chair of the clinical laboratory scientists council shall serve on the board of directors as ex officio members with vote. Professional members have the right to vote, make nominations, to hold elected office, and to chair, serve and vote on committees.

The form 990 is prepared by the organization's public accounting firm based on information provided by management. Once a draft of the filing is available, it is provided to management for their review prior to filing.

Form 990, Part VI, Section B, Line 12

Officers, directors, and key employees are required to disclose annually interests that could give rise to conflicts. The organization regularly and consistently monitors and enforces compliance with the policy. Designated board members are assigned responsibility to continuosly monitor compliance with the conflict-of-interest policy. When a topic for which an individual has a potential conflict is under discussion, the individual is expected to declare the potential conflict, and at the discretion of the presiding individual, abstain from discussion and/or voting.

Form 990, Part VI, Section B, Line 15A

The performance & compensation committee (p&cc) is charged with determining compensation for the chief executive officer. During fiscal year 2021, an executive search firm conducted a search for this position, and the p&cc based the position's salary on input from the search firm, using market data of executive searches for similar organizations as well as data obtained from ceo update. The p&cc documented its decision with a written employment contract. Other officers or key employees: aacc has a formal salary administration program with salaries based on grades and increases based on formal evaluations. The salary ranges for grades are evaluated by an outside consultant periodically with selected benchmark positions. Aacc's officers and key executives salaries were reduced by 7% during fy 21, a decision made by management in response to the covid-19 pandemic.

Lab tests online in january 2021, aacc sold lab tests online, an award-winning public resource on laboratory testing, to a digital health company. With this transition, lab tests online will continue its epic growth and move to the next level of patient health advocacy by coordinating with and expanding upon the health company's existing brands. The proceeds from the sale assisted in providing relief through the covid-19 pandemic and will help to fund the scientific mission of aacc.

PART V, LINE 4:

Target amounts to be retained within each endowment are established during the annual budget process. Association staff disburses allowable funds for expenditures in accordance with donor stipulations. In establishing this policy, the association considered the long-term expected return on its endowments. Accordingly, over the long term, the association expects the current spending policy to allow its endowment to grow at a reasonable rate each year. This is consistent with the association's objective to maintain the purchasing power of the endowment assets held in perpetuity or for a specified term as well as to provide additional real growth through new gifts and investment return.

PART X, LINE 2:

The association is exempt from payment of income taxes under the provisions of section 501(c)(3) of the internal revenue code. However, the association is subject to and pays unrelated business income taxes on its advertising income. The association qualifies for the charitable contribution deduction and has been classified as an organization other than a private foundation.
