Mission

THE WISCONSIN HOSPITAL ASSOCIATION'S (WHA) MISSION IS ADVOCATING FOR THE ABILITY OF ITS MEMBERS TO LEAD IN THE PROVISION OF HIGH QUALITY, AFFORDABLE, AND ACCESSIBLE HEALTH CARE SERVICES, RESULTING IN HEALTHIER WISCONSIN COMMUNITIES.The association fulfills its mission by making advocacy and representation its highest priority and advocating for the identification and implementation of initiatives that improve the health of wisconsin communities; serving as a forum to discuss diverse points of view and seek consensus on how best to meet evolving societal and member needs; providing education and training on issues relating to matters that enable members to achieve their missions; taking a leadership role in fostering a climate of collaboration, respect, and interdependency between the various stakeholders that can affect health care; and offering value added services that meet membership needs through the association and its subsidiaries.

Governance Explanations

Wisconsin hospital association is a 501(c)(6) association with members. The association's membership is comprised of two classes of members, provider and corporate. Provider membership includes the following types of organizations: hospitals, both general and special, that are licensed by the state of wisconsin, va hospitals, and other health care facilities designated by the board of directors; health care systems that govern, own or control one or more hospitals; and other organizations designated by the board of directors, provided that the board determines that membership of such other organization is consistent with the mission and vision of the association. Corporate members may include individuals or companies in the fields of law, accounting, banking, architecture, and other professionals that provide services to health care providers in wisconsin and other states.

Membership of the association has the right to elect regional directors of their respective regions on the association's board of directors.

Form 990, Part VI, Section A, Line 7B

Membership of the association has the power to approve the following: all amendments to the articles of incorporation of the association; any amendments to the bylaws of the association to increase or decrease the number of votes required for an action; any sale, lease, exchange or disposal of all or substantially all of the association's property; and approval of the dissolution of the association and distribution of its net assets in accordance with applicable law.

Annually directors and employees sign off on a code of ethics consent form of which the conflict of interest policy is a part. Employees are required to seek the advice of management to determine if they have a conflict of interest and seek review from their manager or the human resource department. Directors with an actual or perceived conflict of interest are recused from discussion and voting on the matter to which the conflict relates.
