“The form 990 (excluding schedule b names of donors) is made available to all board members and a complete copy of the form 990 is emailed to each member of the finance committee for their review at the committee meeting. Questions or concerns that any member of the finance committee have are directed to the director of finance and are addressed before the form 990 is filed. The 990 is provided to the finance committee, but not the entire board of directors.”

“The organization's practice for monitoring proposed or ongoing transactions for conflicts of interest and dealing with potential or actual conflicts of interest is that the board of trustees are asked to sign the policy every year. If a potential conflict of interest arises, it is disclosed to the board of trustees. If it is deemed to be a conflict, the individual shall neither vote nor use personal influence on the matter, nor shall the individual be involved during any related discussions on the matter. The minutes of all actions taken on such matters clearly reflect the context of this situation.”
