The 990 is presented and reviewed by the board members at the board of directors meeting held in march of each year.

Form 990, Part VI, Section B, Line 12C

The board of directors, key employees and all other paid employees of the council are required to review and sign a conflict of interest statement annually (employed staff - first staff meeting in january. Board members - first of may after the april annual council meeting). At the review and signing, any potential conflicts are addressed and policies enforced immediately.

Form 990, Part VI, Section B, Line 15

Compensation and performance of the council's ceo are reviewed annually (usually in january) during the organizational review. At the board meeting in january, a volunteer committee of three or four members is formed to conduct the annual organizational review. The ceo's merit increase is based on the committee's review of the previous year's goals and plan of work and the subsequent year-end management report indicating whether or not goals were met and plans carried out. Based on schedules, pay grades, salary ranges set forth by the national organization (gsusa) in their resource "administering sound compensation programs in girl scouting", the committee has guidelines to follow in determining compensation and merit increases for the council's ceo. All employed staff members of girl scouts of manitou council are reviewed annually for performance and goal setting by the staff member's supervisor. Initial compensation and salary ranges are determined by guidelines set forth by gsusa. Merit increases are based on a sliding scale depending on level of performance in the previous year's set goals (ie. Did not meetin expectations, met expectations, exceeded expectations). The supervisor's decision is discussed with and ultimately approved by the ceo.

The finance committee assumes responsibility for oversight of the audit and is responsible for selecting the independent auditor. The process has not changed from the prior year.

Financial Statement Notes

PART V, LINE 4:

The intent of the council's endowment fund is to use the income generated from the fund towards operational expenses (which includes special education programs, membership and volunteer training, and outdoor camping experiences for girls). Presently, the council has decided to reinvest the income to grow the endowment.

PART X, LINE 2:

Us gaap requires management to evaluate tax positions taken by the council and recognize a tax liability (or asset) if the council has taken an uncertain position that more likely than not would not be sustained upon examination by a taxing authority. Management has analyzed the tax positions taken by the council, and has concluded that as of december 31, 2021 and 2020, there are no uncertain positions taken or expected to be taken that would require recognition of a liability (or asset) or disclosure in the financial statements. The council is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods in progress. The council will recognize future accrued interest and penalties related to unrecognized tax benefits in management and general expense if incurred.

THE PROCEEDS ALSO HELP SUBSIDIZE SUMMER CAMP FEES AND COUNCIL INITIATED PROGRAM EVENTS BY MORE THAN 50%. GIRL SCOUTS OF ALL AGE LEVELS ARE ENCOURAGED TO PARTICIPATE AND THE VAST MAJORITY OF THEM DO PARTICIPATE IN THIS VERY POPULAR EVENT STEEPED IN TRADITION.
