Form 990, part vi, section b, line 10b: local chapter, affiliate, or branch activities policies experimental aircraft association, inc. Has designated "chapters" but such chapters do no meet the definition of "chapters" within the meaning provided by form 990 instructions. Experimental aircraft association, inc. Does not have legal authority to exercise supervision and control over the affairs of the affiliated chapters. Accordingly, the organization has answered form 990, part vi, line 10a "no".

Form 990, Part VI, Section B, Line 11B

Process the organization uses to review form 990 the form 990 was prepared by a national accounting firm and reviewed by organization management. The audit committee of the board reviewed a draft copy of the return with management and the independent tax return preparers. After approval by the audit committee, the form 990 was updated to incorporate any necessary changes and a copy of the return was provided electronically to the director of finance to distribute to the entire board of directors with a request for feedback. Subsequent to receipt of feedback, necessary changes were made to the draft form 990. The finalized version of form 990 was provided to all members of the board of directors and then filed with the irs.

Organization's practices for monitoring conflicts of interest all officers, directors, and key employees are required to sign the organization's conflict of interest policy. Inhouse legal counsel reviews all forms. Any disclosures noted are brought to the attention of the audit committee for review.

Process for determining compensation of top management the hr & governance committee makes decisions about the ceo/chairman of the board's total compensation in closed session without the presence of the ceo/chairman of the board. This is done on an annual basis and was last done in may 2024. An outside analysis is done evaluating comparable organizations as well as a market analysis of like positions. This procedure was performed in the second quarter of fy2024 and was in effect for calendar year 2024. Form 990, part vi, line 15b: process for determining compensation of officers & key employees an outside market analysis is done for the senior leadership team and presented to the hr & governance committee. The committee, in partnership with the chairman of the board, determines the total compensation for the senior team. This procedure was performed in the second quarter of fy2025 and was in effect for calendar year 2024. Changes to the overall compensation of the senior team has been minimal since the last review. An internal comparable market analysis is done for all other positions and is typically done every couple of years unless market conditions shift. This procedure was performed in the second quarter of fy2024 and was in effect for calendar year 2024.

Financial Statement Notes

PART III, LINE 4:

Collections of art and historical treasures exempt purpose the eaa aviation foundation, inc., along with the eaa aviation museum, maintains a collection of historic aircraft, artifacts, and archival materials related to the history of aviation with an emphasis on recreational aviation. The collection includes approximately 240 aircraft, approximately 22,400 artifacts, 20,750 books and periodicals, 1,069,000 photographs and over 9,100 hours of film and video. The foundation loans the collection to eaa and eaa makes these collections available to the general public through on-site exhibits in the public museum, educational programming, a research library, and web-based content that attracts millions of visits each year. Through its collections, eaa explores and celebrates aviation's past and the spirit of aviation to encourage learning, discovery, and engagement with aviation.

The foundation has adopted prudent investment and spending policies for endowment funds, which attempt to provide a predictable stream of funding to support eaa programs while seeking to maintain the purchasing power of endowment funds. The foundation has a spending policy of appropriating for distribution each year a percentage of its endowment funds average fair value over the prior three calendar year-ends preceding the fiscal year in which the distribution is planned. The foundation has adopted a prudent spending policy percentage of 4% for 2025 and 2024.

PART X, LINE 2:

Organization's liability for uncertain tax positions under asc 740-10 the association has received a determination letter from the internal revenue service ("irs"), dated november 3, 1993, stating that it is exempt from federal income tax under section 501(c)(3) of the internal revenue code ("irc"). The foundation has received a determination letter from the irs, dated october 30, 1964, stating that it is exempt from federal income tax under section 501(c)(3) of the irc. The association and foundation pay unrelated business income tax on certain of its activities, which are deemed to be unrelated to its exempt purpose. As required by the uncertain tax position guidance, the association and the foundation recognize the financial statement benefit of a tax position only after determining that the relevant tax authority would more likely than not sustain the position following an audit. For tax positions meeting the more-likely-than-not threshold, the amount recognized in the financial statements is the largest benefit that has a greater than 50% likelihood of being realized upon ultimate settlement with the relevant tax authority. The association and the foundation applied the uncertain tax position guidance to all tax positions for which the statute of limitations remained open and determined there were no material unrecognized tax benefits as of february 28, 2025 and february 29, 2024. There were no material interest or penalties related to income tax that have been accrued or recognized as of and for the years ended february 28, 2025 and february 29, 2024.
