Governance Explanations

Form 990, Part VI, Section A, line 4

During the year, the Upper Midwest Region reduced it's Board to 3 members. Additionally, a resolution was approved for the Upper Midwest Region to merge with the Arthritis Foundation, Inc. National Office.

Form 990, Part VI, Section B, line 11

The National Arthritis Foundation Board has charged the National Arthritis Foundation Budget & Finance Committee with the responsibility of reviewing the Form 990 prior to submitting to the IRS. Metcalf Davis will provide a pdf file that will be emailed to the National Arthritis Foundation Budget & Finance Committee and a conference call will be scheduled. The entire National Arthritis Foundation Board will receive a completed copy of the 990 via email. The Form 990 will also be available on the Upper Midwest Region website at www.arthritis.org.

Form 990, Part VI, Section B, line 12C

Staff and Board of Directors are asked to complete a conflict of interest disclosure questionnaire annually and are reminded at quarterly Board meetingsto report any changes. If a conflict of interest does exist, the affected representative shall voluntarily recuse himself or herself from participating in any decision concerning the matter related to the conflict. The representative, if appropriate, may request an opportunity to provide factual information and to comment upon the related issue prior to a vote on the matter, but may not cast a vote.

The Executive Committee reviews the CEO and sets salary based on the National Arthritis Foundation salary guidelines and on information available through the annual compensation survey available to members of the Minnesota Council of Nonprofits. The CEO reviews other staff and determines salary with the same tools.

IRS990ScheduleC/SupplementalInformationDetail/ExplanationTxt0National - the 2014 Advocacy Summit was held in Washington D.C. on March 24-26, 2014. The Arthritis Foundation, Upper Midwest Region had 8 volunteer delegates at the event. Scholarships were provided to assist with registration and/or travel costs. While at the two day National Advocacy Summit, delegates participate in the new advocate training which provides an overview of the Arthritis Foundation advocacy priorities, a session on how to talk with legislators, and techniques to present the advocacy agenda. In addition, the delegates participated in legislative visits with U.S. senators and U.S. representatives. Other State Activities - As part of a year round appeal program, constituents signed declarations asking their legislators to support and co-sign the Arthritis Prevention, Control, and Cure Act. These declarations along with many personal stories were distributed to our U.S. senators and representatives. We continue to participate on monthly conference calls with our advocacy ambassadors to coordinate efforts to stay in touch with their local representatives. During these calls, the ambassadors discuss issues that are raised during local town hall meetings, their visits with legislative aides on a local level, and assignments made by the National Office.
