The organization has written conflict of interest policy for employees as well as for board members and it is strictly followed. Each employee and board member is given the copy of the current policy and is required to sign it acknowledging its receipt and read it in detail and inform the appropriate authority in case of any conflict. If a member has a conflict, they are required to disclose to the president of the board. Such disclosure shall include all material facts and supply any reasons why the arrangement might be or not be in the best interest of the corporation. The president of the board shall refer the issue to the full board, the executive committee, or other board committee having decision-making authority. The board will then deliberate and choose the best option for the organization by way of consensus. No interested member shall participate by discussion or voting. All discussion and decisions are documented in the meeting minutes.

Financial Statement Notes

PART IV, LINE 2B:

The organization holds funds in their trust account that are designated in the name of council members.

PART V, LINE 4:

The council has various donor restricted endowment funds established for scholarships, special needs troops, and other purposes. As required by generally accepted accounting principles (gaap), net assets of the endowment fund are classified and reported based on the existence or absence of donor-imposed restrictions. The board of directors of the council has interpreted the wisconsin uniform prudent management of institutional funds act (upmifa) as requiring the preservation of the fair value of the original gift as of the gift date of the donor-restricted endowment funds absent explicit donor stipulations to the contrary. As a result of this interpretation, the council classifies as permanently restricted net assets (a) the original value of gifts donated to the permanent endowment, (b) the original value of subsequent gifts to the permanent endowment, and (c) accumulations to the permanent endowment made in accordance with the direction of the applicable donor gift instrument at the time the accumulation is added to the fund. The council considers all earnings on endowment funds to be temporarily restricted for scholarships, special needs troops and other purposes. Fund with deficiencies from time to time, the fair value of assets associated with individual donor-restricted endowment funds may fall below the level that the donor requires the council to retain as a fund of perpetual duration. In accordance with gaap, deficiencies of this nature are reported in unrestricted net assets. These deficiencies result from unfavorable market fluctuations that occurr during the year. Spending policy on july 29, 2004, the board of directors approved an endowment spending policy. The policy defines the total funds available from the endowment fund in a given year (the distributable income) as up to five percent of the endowment funds market value as of december 31st of the preceding year. The endowment fund is to have returns greater than the proposed distribution plus management and trustee fees. If the market value of the endowment fund falls to or below the amount of the funds donor restricted gifts then the spending policy will be amended in accordance with the guidelines not to exceed the actual earnings of the fund. The board of directors may amend this spending policy. Investment objective and strategies the councils endowments are invested in accordance with the investment policy of the council, which includes investments in marketable debt and equity securities.

The council evaluated its tax positions and determined it has no uncertain positions as of december 31, 2017 and 2016.
