Governance Explanations

Form 990, Page 6, Part VI, Line 1A

The executive committee shall consist of the trustees of the corporation who are also officers and two (2) additional trustees at large elected by the board. The president shall be chairperson of the executive committee. The executive committee shall have full responsibility to act on behalf of the board between board meetings, excepting the authority to elect officers and declare or fill any vacancy on the board. In addition, any three (3) members of the executive committee may require matters brought before the executive committee to be brought before the board for resolution. The executive committee shall present the annual operating and capital budget. It shall be responsible for the performance review and oversight of the executive director and such other personnel matters relating to the executive director as require immediate action. Minutes of executive committee meetings shall be promptly provided to the board. The finance committee shall review the annual operating and capital budgets of the corporation, review monthly and annual financial statements, and make recommendations to the board on all fiscal affairs of the corporation and on matters referred to it from time to time. The treasurer shall be chairperson of the finance committee. The finance committee shall consist of not less than five (5) members. The board management and nominating committee shall be appointed by the board and shall consist of not less than five members of which two shall be the past president and vice president/president elect. The board management and nominating committee shall make recommendations to the board of qualified persons to fill any vacancy on the board, any committee, or any office, and shall be responsible for the management and development of the board. The strategic planning committee will be responsible for long-term and strategic planning of the corporation, and such other duties as the board shall determine from time to time.

The number, qualification, and classification of members of the paine are as follows: founding members - the original founding members charter members - the original associate members who were appointed by the founding members life members - continue as members for life in recognition of their singular contribution to the purpose of the organization. Honorary members - those individuals and organizations who, in the judgement of the board of trustees, have made outstanding and meaningful contributions to the purpose of the organization. Corporation members - those individuals currently serving, by means of election or appointment, as trustees of the board. General members - those who are current in membership by having paid for or received annual membership benefits for admission and enjoyment of the paine. Corporation members shall be the only members of the paine with voting rights and each such corporation member shall be entitled to one vote at any meeting of the corporation members. All other membership categories set forth above shall have no voting rights, no right to attend meetings, nor any other rights relating to the paine. Members in all membership categories shall be admitted to any exhibit or function sponsored by the paine and shall have access to the paine's research materials or facilities subject to reasonable restrictions.

The form 990 was prepared by independent auditors, vesta cpas, s.c., which in turn presented the form to the financial officer of the organization, doris peitz, who reviewed the form and then presented it to the executive director of the organization, aaron sherer, for his review. The public disclosure version of the form 990 was then presented to the board's finance committee, a volunteer committee whose members must be elected by the board. The public disclosure version of the form 990 was also presented to the board for their approval prior to being filed with the internal revenue service.

Each member of the organization's board of trustees, officers, staff and appropriate volunteers (as determined by the executive director) will complete a conflict of interest and disclosure statement at the time of their election, hiring or the beginning of their service to the organization. Such individual will update the existing statement or complete and sign a new conflict of interest and disclosure statement if, at any time during their service to the paine, circumstances change that would warrant a new statement. Staff shall disclose any possible conflicts of interest to the executive director; the board of trustees and executive director shall disclose any possible conflicts of interest to the president of the board of trustees (or if he or she is the one with the conflict then to the board vice president), who shall determine whether a conflict exists. Transactions with parties with whom a conflicting interest exists may be undertaken only if all the following are observed: 1. The conflicting interest is fully disclosed; 2. The person with the conflict of interest is excluded from the discussion and approval of such transactions; 3. A competitive bid or comparable valuation exists; and 4. The executive director of the board of trustees (for board of trustees and executive director) or the administration team (for staff) has determined that the transaction is in the best interest of the organization and that the contemplated transaction may be authorized as just, fair, and reasonable to the paine art center & gardens. The decision of the executive committee and the administrative team on these matters will rest in their sole discretion, and the concern must be the welfare of the paine art center & gardens and the advancement of its mission and vision.

Compensation process for top official: the paine's by-laws stipulate that the executive committee of the board shall be responsible for the performance review and oversight of the executive director and such other personnel matters relating to the executive director as requires immediate action. The executive director is reviewed annually by the executive committee, the executive director's compensation is adjusted accordingly through this process. The executive committee reviews available salary surveys of comparable organizations in determining the compensation.

Collections & exhibitions - paine art center & gardens, inc. Provides planning, transportation, design, and installation of exhibitions. It is also responsible for preserving museum collections. The organization has a long history of presenting exceptional exhibitions spanning classical to contemporary art. The historic paine property holds a collection of more than a thousand artworks, including paintings, sculptures, furnishings, and decorative objects. The rooms and hallways of the paine mansion display items from nathan and jessie kimberly paine's collection of fine art and decorative objects, most notably, french barbizon and american landscape paintings from the late 19th and early 20th centuries, primarily purchased in the mid-1920's. The estate's gardens also feature several sculptures as focal points of the outdoor "galleries". While a majority of the collection was acquired by the paines, it has also grown substantially through donations and purchases while continuing to reflect the subjects and spirit of the founders' original gift. The collection is catalogued for educational and curatorial purposes. The organizations intent is to preserve and maintain their collection which directly furthers the organization's purposes.

Gardens - the organization maintains, preserves, and interprets the horticultural collection. The paine estate features twenty garden areas for public enjoyment and education. In concert with the historic architecture, the garden designs create outdoor "rooms" showcasing a wide variety of plants. Like the paine mansion's rooms and galleries, the gardens are designed to create a variety of intimate and grand settings. Set against the backdrop of the mansion, the gardens showcase perennials that are especially hardy in wisconsin's climate as well as trees, shrubs and wildflowers native to the state. Displays of annuals and bulbs change each year and present new varieties and unusual combinations to inspire every level of garden enthusiast.

Education - the organization develops and administers educational and interpretive programs. Volunteer services - the organization is responsible for developing and maintaining its volunteer program. You will find our enthusiastic volunteers contributing in countless ways throughout the entire estate. Some volunteers warmly welcome guests, others participate in curatorial and archival activities, still others roll up their sleeves and go to work in our enchanting gardens.

Paine art center & gardens, inc. (the paine) possesses donated inexhaustible collections of works of art, historical treasures, and similar assets. Each of the items is catalogued for educational and curatorial purposes. Procedures are continuously employed to verify the condition and existence of each item in the collection. The organization's intent is to preserve and maintain their collection and to use the proceeds from any sales to acquire other items for their collection. Such assets are not recognized on the organization's statements of financial position since they are held for public inspection, education, and/or research. In addition, because these assets are not recognized on the organization's statements of financial position, contributed collection items are not reflected on the statements of activities. Purchases of collection items are recorded as decreases in unrestricted net assets in the year acquired or released from temporarily or permanently restricted net assets if the assets used to purchase the items have been restricted by donors. Proceeds from deaccessions or insurance recoveries are reflected as increases in the appropriate net asset classes.

Beneficial interest in assets held by community foundation represents amounts held by oshkosh area community foundation. The foundation invests the assets held in the fund. Income and principal may be distributed as follows: the purpose of the general endowment fund is to provide income for the organization and requires a portion of the corpus that is donor restricted to remain intact. Numerous bequests and donations have been made to this fund over the years of its existence. Any donor restricted bequests and donations are accounted for as permanently restricted. The paine gardens fund was created as a board-designated endowment and does not contain any donor restricted gifts. The purpose of the shirk endowment fund is to maintain and care for the residence, walks, and approaches. Expenditures from this fund are restricted to income; the corpus is to remain intact. The corpus is included in permanently restricted net assets and is included in general endowment fund balance.

Is organized as a wisconsin nonprofit corporation and has been recognized by the internal revenue service (irs) as exempt from federal income taxes under internal revenue code (irc) section 501(a) as an organization described in irc section 501(c)(3), qualifies for the charitable contribution deduction under irc sections 170 (b)(1)(a)(vi), and has been determined not to be private foundations under irc sections 509(a)(1). The entity is annually required to file a return of organization exempt from income tax (form 990) with the irs. In addition, the entity is subject to income tax on net income that is derived from business activities that are unrelated to its exempt purposes. The organization files an exempt organization business income tax return (form 990-t) with the irs to report its unrelated business taxable income.
