To foster the growth of the credit union movement and to promote cooperation in all matters of common concern by and between credit unions located in wisconsin.

Governance Explanations

Form 990, Part VI, Section A, Line 6

Any credit union organized under state or federal law and with an office in the state of wisconsin is eligible for membership in the league. Only members have voting rights.

Form 990, Part VI, Section A, Line 7A

The state is divided into not less than five geographic regions and not less than four groups based on the asset size of members (referred to as groups). The governing body may from time to time, with approval of the membership, reestablish the number of regions and the boundaries for those regions as well as the number of asset breakdown of the groups. The regions and groups are established to fairly represent the membership of the league after taking into consideration the number of members, the combined assets of the members, and the number of credit union members in each region and each group. Each region and each group elects one director in accordance with the provisions set forth in the bylaws.

Form 990, Part VI, Section A, Line 7B

The ultimate powers in the administration of the league are vested in the members at annual or special meetings. The members are empowered to enact and amend the bylaws, establish dues for members, establish the district boundaries and fix the number of districts, and transact any business duly brought before them.

Form 990, Part VI, Section B, Line 11B

The prepared form 990 is reviewed by the vice president of finance & it and provided to the members of the governing body for review at the december meeting of the governing body. Due to the november 15th filing deadline, the return is filed with the irs before the december meeting. If changes to the return are required after the review by the governing body, an amended return will be filed before the end of december following the meeting.

Form 990, Part VI, Section B, Line 12C

Annually all directors and officers complete and sign a statement that provides information regarding their interests and those of their family members that could give rise to conflicts. The members of the governing body make determinations of whether a conflict exists and review actual conflicts. Any person with a conflict is prohibited from participating in the governing body's deliberations and decisions in the transaction.

Annually the executive committee of the governing body meets to review the compensation of the president & ceo. Compensation surveys are provided by the american association of credit union leagues and the deliberations and decisions on the president & ceo's compensation are documented in the minutes of the meetings of the governing body. Determination of compensation for other officers and key employees is determined using external data (provided through compease) through a review of the individual's responsibilities, as well as a review of other credit union salary data.

The league makes its governing documents, conflict of interest policy, and financial statements available to the public upon request.
