“Marquette county fair is organized as a nonprofit corporation with members. Membership is open to, and restricted to, residents of marquette county unless a residency waiver is approved. The two classes of membership are adult (age 18 or older) and youth (under age 18). Voting privileges are enacted after being an adult member for a period of one year. Youth members are not entitled to vote. No part of the organization's earnings or assets inure to the benefit of its members.”

“The board of directors consists of thirteen to nineteen individuals that serve three year tems on a staggered basis. The board members are elected each year at the annual meeting in october, by adult association members (see explanation for line 6 above). Voting is done by individual ballot and each adult association member has one voting right.”

“The organization does not have any committees with authority to act on behalf of the governing body.”

“A copy of the form 990 is provided to members of the executive board (president, vice president, treasurer, documentation secretary and recording secretary) to review. The return is discussed and approved at the monthly meeting before filing. The return is then signed by the board president.”

“The board monitors issues that could cause a conflict of interest and those in conflict are required to abstain from voting.”
