Governance Explanations

Form 990, Part VI, Section B, Line 11B

The consolidated audited financial statements and the form 990 are reviewed with the auditor and the truenorth board finance & audit committee prior to the filing of the form 990.

Form 990, Part VI, Section B, Line 12C

Board members are required to complete the truenorth board of directors conflict of interest policy form annuall (normally in january). Staff members are required to disclose any interests on the employee conflict of interest disclosure statement before any transaction is consummated. The board shall determine whether a conflict exists and is material, and in the presence of an existing material conflict, whether the contemplated transaction may be authorized as just, fair and reasonable to truenorth. The decision of the board on these matters will rest in their sole discretion, and their concern must be the welfare of truenorth community services and the advancement of its purpose.

Form 990, Part VI, Section B, Line 15

Compensation process for top official - the truenorth board executive committee serves as the human resources committee. The executive director's salary and benefits package is compiled by the board of directors which forwards their recommendations to the board finance & audit committee to assure they fit within the annual budget. Once endorsed by the finance committee, the salary and benefits package is presented as part of the annual operating budget to the full board of directors for approval. Compensation process for officers - the truenorth board executive committee serves as the human resources committee. This recommendation comes from the board of directors. Financial Statement Notes

PART X, LINE 2:

The organization evaluates tax positions taken on its federal exempt organization business income tax returns in accordance with generally accepted accounting principles, which require that tax positions taken be more-likely-than-not to be sustained. Management believes that the organization has no significant unrecognized tax benefits under that criteria. Penalties and interest, if any, assessed by income taxing authorities are included in operating expenses. The organization's federal exempt organization business income tax returns are generally subject to examination by taxing authorities for three years after they were filed.
