“Members are elected as a result of finding other publicly supported hospitals or public entities domiciled in the state of texas who desire to affiliate with each other in order to improve health care delivery in their respective communities.”

“The governing body consists entirely of directors/members and as such all decisions of the governing body are thereby contemporaneously approved by the members.”

“The governing body reviews the form 990 at the meeting following the completion of the return.”

“The organization requires each director, principal officer and member to annually sign a statement which affirms such person a) has received a copy of the conflict of interest policy, b) has read and understands the policy, c) has agreed to comply with the policy, and d) understands the organization is charitable and in order to maintain its federal tax exemption it must engage primarily in activities which accomplish one or more of its tax-exempt purposes. In addition, the organization conducts periodic reviews.”
