“The rental property owned by the corporation is managed by piper realty company. Piper realty company has a project owner's and management agent's certification for multifamily housing projects with the u.s. Department of housing and urban development. Under this certification, hud has approved piper realty company to manage the underlying project of the corporation. The management contract encompasses the day to day operations of the rental property including, but not limited to, collection of rents, maintenance of facilities, supervision of staff, and ongoing support for both the owners and tenants as needed in order to establish a safe, sanitary and affordable environment.”
“The directors of the corporation shall be limited to individuals who are members of the ahepa national housing corporation and members in good standing of the order of ahepa or daughters of penelope or approved by the ahepa national housing corporation. In the event that a director of the corporation ceases to be a member of the corporation or if a nonmember's approval is withdrawn such action shall constitute automatic resignation as a director of the corporation. Directors and officers shall be subject to such other qualifications limitations and restrictions and granted such other rights and preferences, as set forth in the by-laws as amended from time to time.”
