The organization's membership elects the governing board to staggered terms every year, according to the by-laws.

Form 990, Part VI, Section B, Line 11B

The finance committee reviews the 990 after it is prepared and recommends approval to the board. The board then acts to approve the 990, as prepared, before it is officially filed. This usually takes place at the february board meeting.

Form 990, Part VI, Section B, Line 12C

All board members are annually required to complete and sign the conflict of interest statement. Any new potential conflicts of interest are discussed at board meetings on a regular basis.

Form 990, Part VI, Section B, Line 15

Cedam's executive committee (made up of its officers) handles review of the executive director. The executive committee uses a combination of methods for evaluating the executive director's performance, including review of the executive director's past work, surveying other board memebers for their evaluation on performance, and consulting salary guides and salary levels of executives in similar positions/organizations. The executive committee provides a written summary of their actions and recommended actions to the board for approval. Documentation of the process is stored with cedam's personnel records.

Financial Statement Notes

PART X, LINE 2:

In the preparation of tax returns, tax positions are taken based on interpretation of federal, state and local income tax laws. Management periodically reviews and evaluates the status of uncertain tax positions and makes estimates of amounts, including interest and penalties, ultimately due or owed. No amounts have been identified, or recorded, as uncertain tax positions. Federal, state and local tax returns generally remain open for examination by the various taxing authorities for a period of three to four years.
