Governance Explanations

Form 990, Part VI, Section B, Line 11B

The organization's board chair and finance director reviewed the form 990 and copy of the audited financial statements prior to filing.

Form 990, Part VI, Section B, Line 12C

Employees must refrain from taking part in, or exerting influence in, any transaction in which their own interests may conflict with the best interests of ccca. The college recognizes and respects the individual employee's right to engage in activities outside of his or her employment that are private in nature and do not in any way conflict with or reflect poorly on the college or interfere with the employee's ability to perform his or her employment duties. Management reserves the right, however, to determine when an employee's activities represent a conflict with the college's interests and to take whatever action is necessary to resolve the situation. It is the policy of ccca that all its employees avoid both conflicts of interest and the appearance of conflicts of interest whenever possible. A conflict of interest exists when the college's employees have an outside interest that has the potential of being at variance with the best interests of the college. If an employee feels he or she has been compromised in any way regarding any action that could be construed illegal or unethical; or if they are aware of another's actions that violate this policy, they should bring it to the attention of the vice president of institutional affairs or the president. Each employee has an obligation to uphold this and all of the policies in this manual. If conflicts of interest are verified, appropriate action will be taken. No employee will be retaliated against, in any way for bringing, in good faith, a report of suspected or questionable action, to the attention of executive management. There are no exceptions of responsibility in observing the college's policy on business ethics, nor can an employee justify an illegal or improper act by claiming it was ordered by a supervisor or co-worker when the employee knew or "should have reasonably known" the action was questionable. Refer to the whistleblower policy. Conflict of interest violations, could lead to disciplinary action, not excluding termination.

IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt0THE ORGANIZATION'S BOARD CHAIR AND FINANCE DIRECTOR REVIEWED THE FORM 990 AND COPY OF THE AUDITED FINANCIAL STATEMENTS PRIOR TO FILING.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt1EMPLOYEES MUST REFRAIN FROM TAKING PART IN, OR EXERTING INFLUENCE IN, ANY TRANSACTION IN WHICH THEIR OWN INTERESTS MAY CONFLICT WITH THE BEST INTERESTS OF CCCA.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt2THE BOARD REVIEWS AND SETS COMPENSATION OF THE PRESIDENT.
