Mission and Program Overview

Mission

To strengthen the bookselling community through charitable programs that support employees and their families.

The centerpiece program provides short-term financial assistance to book industry employees, including bookstore owners/operators, booksellers, book buyers and former borders employees and their immediate families who have demonstrated financial need arising from severe hardship and/or emergency circumstances, including but not limited to, disaster relief, domestic violence, serious medical condition, or loss of household income such as divorce or separation, death of an employee or immediate family member. Additionally, the book industry charitable foundation made available other tools to help affected employees deal with ongoing financial challenges. These tools include health care resource directories, budget planning guides and financial mangement tools.

Governance Explanations

Form 990, Part VI, Section B, Line 11

The executive committee (president, vice president, secretary, and treasurer) will review the full and complete 990 prior to filing, and the full and complete 990 will be issued electronically to all board members prior to filing for their feedback. In addition, the 990 will be reviewed at the first board meeting after the 990 has been filed.

Form 990, Part VI, Section B, Line 12C

The policy is reviewed each year when new bod members are added. All bod members are required to sign and return the conflict of interest statement when they join the board. In addition, the board member role description includes a conflict of interest statement and the statement is reviewed at the first bod meeting of every fiscal year. The conflict of interest policy applies to all staff and volunteers, including board members.

Form 990, Part VI, Section B, Line 15A

A salary review and title review were conducted by the president of the bod and shared with the other executive committee members. This included collecting benchmark data on salary, title and responsibilities. The survey was conducted through the borders compensation department in the fall of 2008. The compensation arrangement has not changed since that time.

Matching grants program - the foundation conducted a pilot of a matching grants program. This program allows our targeted clients to collect up to $2,000 for a specifically stated hardship and after verification the foundation will match dollar for dollar the amount collected up to $2,000. Professional scholarships - after receiving significant feedback and a pilot program, the foundation board added a professional scholarship program. This program provides scholarships for book industry related conferences, workshops and learning events.

No changes to process of audit committee's oversight responsibilities were noted in 2013.

Financial Statement Notes

PART X, LINE 2:

Accounting principles generally accepted in the united states of america require management to evaluate tax positions taken by the foundation and recognize a tax liability if the foundation has taken an uncertain position that more likely than not would not be sustained upon examination by the irs or other applicable taxing authorities. Management has analyzed the tax positions taken by the foundation and has concluded that as of december 31, 2014 and 2013, there are no uncertain tax positions taken or expected to be taken that would require recognition of a liability or disclosure in the financial statements. The foundation is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods in progress. Management believes it is no longer subject to income tax examinations for years prior to 2011.
