“The Board of Directors has established an executive compensation philosophywith compensation opportunities set at the median of the competitive labormarket described as comparable FQHCs and other not for profit health careorganizations, typically those in the State of Michigan and Midwest. Theboard retains the services of Merces Consulting Group, Inc., an independentcompensation consulting firm, who collects, analyzes and reports data oncompetitive comparable organizations from a variety of published surveys.These include the National Association of Community Health Centers andMichigan Primary Care Association as well as information reported in otherFQHC form 990s. Each year a salary range is established with a midpoint setat the competitive market rate. The range is divided into segmentsappropriate for various levels of long-term performance. The compensationcommittee, consisting of disinterested directors, completes the performanceappraisal for the CEO with input from other board members and determineswhat part of the range is appropriate for the CEO's performance, and whatincrease, if any, is warranted.
